The Council has indicated a willingness to let the Public Works department assist residents in moving mailboxes if requested and they are ready to do SO. People have asked whether the City would be willing to pay for new mailboxes if the current ones do not meet standards. I have spoken to the County Highway department and they are not willing to pay for new mailboxes outside of a road improvement project. Brad Belair has estimated the costs at approximately $150 a piece for a new frame and mailbox. He will be available Monday to discuss this. The status of each of the County roads is as follows. Parrish Avenue (CSAR 42) When the County has finished their road improvement project every mailbox on Parrish Avenue (CSAR 42) will have been moved except the one at 8185. 8185 Parrish has been contacted by the mail carrier but has not shown any interest in moving their mailbox. The property is located across Parrish from Target and is guided for future commercial development. County Road 36 I have spoken with the Rogers Postmaster and their carriers go in only one direction on this road and they are not willing to see any mailboxes moved. County Road 37 On the following addresses, the carrier goes in both directions and they would support moving the mailboxes. 14886, 15062, 15266, 15324, 15434, 15464, 15578, and 15752. All of these addresses are located between Oakwood Avenue and Quaday Avenue on CSAR 37 (70tn Street). The addresses on Oakwood Avenue 6194, 6360, 6400, 6484, 6488, 6588, 6666 and 6670 the carrier does not currently go in both directions but they are willing to change their route to serve both sides because it will not increase the mileage the carrier drives. On CSAR 37 east of Highway 101, the addresses were not listed on the original list but the carrier does go in both directions so they would support moving the mailboxes, which are all currently on the south side of the street. The affected addresses on the north side of the street would be 16978, 16880, 16770, 16750, 16730, and 16632 (this home will soon be removed). There are eight addresses on CSAH 37 (from 12786 to 13630) that are located west of Oakwood Avenue and are in the Albertville post office district. I have not been able to contact the Albertville post office to see what their response would be to moving these mailboxes. County Road 39 On CSAR 39 there are portions of the road where carriers go both directions and portions where they do not. The five addresses from 13817 to 14284, all located east of Nashua Avenue, could be moved. 2 The six addresses between 10084 and 10940, all located west of Mason Avenue, also could be moved to the same side of the road as the residence. There are seven addresses located on CSAH 39 between Mason Avenue and Nashua Avenue where the post office only goes in one direction and would not support moving the mailboxes. Those addresses are 12566, 13185, 13265, 13311, 13385, 13555, and 13779. Property owner Mr. Richard Kincannon and his son-in-law, Mr. Dennis Correll were present. Mr. Correll and his family will live on the eight acre parcel and showed drawings of a garage addition onto the club house building as part of converting it to residential use. There were no comments from the public and no comments or discussion by the Planning Commission. The public hearing was closed and the Planning Commission voted 6-0 to recommend to City Council approval of the CUP. The application will be considered by the City Council at their meeting on 9 June 2008 at 6:30PM. POSSIBLE ACTIONS A. Mr. Dave Hagen of Loucks Associates was present to represent the developer. Residents that spoke at the public hearing had comments that could be divided into two categories. The first category was issues related to overall community growth policy. Questions were raised as to whether it is appropriate for the City to approve a new residential subdivision in light of recent news stories highlighting vacant and foreclosed housing in the City, diminished rural character and open space as a result of on-going development and impacts to traffic, schools, etc. City staff emphasized that the City has established growth management policies in place and that continued implementation of these strategies protects the City's long-term interests. City staff also noted the issues the City Council has raised with the Star Tribune news articles. The second category of issues dealt more specifically with the proposed subdivision. Residents from Vassuer's Oak Grove Estates 2nd Addition and Hidden Valley subdivisions to the east and south stated that the subject site should be developed with one acre subdivisions. Mr. Curtis Rieck, owner of the exception parcel at the southeast corner of the proposed subdivision, stated his concerns about the impacts of the development to the future use of his property. There were also concerns raised about the grading and handling of stormwater along the east and north plat lines. The Planning Commission discussed the proposed development density. Through their discussion, the Planning Commission noted that the R -4A District had been established in part to provide a transition between sewered and unsewered residential areas. A majority of the Planning Commission members were comfortable with the proposed density of the development as being consistent with prior direction given to the applicant. The Planning Commission discussed at length the proposal to serve the subdivision with a temporary lift station. In order to ensure that the property ultimately would be served by gravity sanitary sewer in the future, the Planning Commission considered an additional condition of approval to require the developer to escrow money for a proportional share of the cost to extend gravity sewer to the subject site and exception parcel, as well as abandonment of the lift station. These monies would be over and above standard SAC and WAC fees. The Planning Commission also discussed the additional impacts to the City's service capabilities that use of a temporary lift station would require and it was stated that these costs would be borne by all users of the sanitary sewer system, not just those within the benefiting development. Finally, the Planning Commission discussed the proposed phasing plan and access within the proposed subdivision. The Planning Commission was concerned about 81St Street and Ogdon Avenue not being connected through the southeast exception parcel, the difference in grades shown on the grading plan at the proposed ends of these streets and the need to maintain a park trail for emergency vehicle access. The Planning Commission discussed adding a condition of approval that the developer not be allowed to final plat the third phase until the connection of 81St Street and Ogren Avenue could be made. The Planning Commission closed the public hearing. As, the Planning Commission prepared to make recommendations to the City Council, City staff advised that if the Planning Commission believed the preliminary plat has fatal flaws and cannot be approved that the appropriate action is to recommend the rezoning be denied. The Planning Commission voted 6-0 to recommend to City Council that the requested Zoning Map amendment be denied. Following the recommendation for denial of the Zoning Map amendment, no action on the preliminary plat was required. The City Council will consider the applications at their meeting on 9 June 2008 at 6:30 PM and make take the following actions. Findings of fact consistent with the recommendation of the Planning Commission for denial of the Zoning Map amendment and preliminary plat are attached as are findings for approval of the requests. POSSIBLE ACTIONS Decision 1 — Zoning Map Amendment A. Motion to approve rezoning the subject site to R -4A District based on a finding that the action would be consistent with the Comprehensive Plan and compatible with existing developed neighborhoods surrounding the subject site. Approval of the preliminary plat shall not guarantee access to sanitary sewer service. The City shall only allocate sanitary sewer capacity to approved final plats with signed development contracts and payment of applicable SAC and WAC fees to assure the City of timely development. 2. The submitted phasing plan shall be incorporated as part of the terms and conditions of a development contract executed for the initial final plat of a phased development. 3. Ogden Avenue and 81st Street are proposed as temporary cul-de-sac streets. The timing for connection of Ogden Avenue and 81St Street is unknown. Until connected, Ogden Avenue and 81St Street each exceed the 500 foot limit for cul-de-sac street established by Section 21-7-6.A of the Subdivision Ordinance. b. There is approximately 30 feet in elevation change at the terminus ends of Ogden Avenue and 81St Street which will not allow for the streets to be connected in the future as required by Section 21-7-5.D of the Subdivision Ordinance. C. The preliminary plat proposes impacts to wetlands in conflict with Section 20- 16-9.E and Section 93 of the Zoning Ordinance. d. The submitted plans do not include a landscape plan for a residential buffer yard as required by Section 20-16-7.D of the Zoning Ordinance. 2 e. The Institute of Transportation Engineers estimates that single family residential dwellings generate approximately 10 vehicle trips per day. The volume of existing traffic and traffic generated by the proposed lots within the preliminary plat is less than the capacity of Odean Avenue. 5. The lots in the southeast corner of the plat need a 10' easement adjacent to the unplatted property. 4. The Preliminary Plat shall be signed by a registered professional land surveyor. 5. Temporary cul-de-sacs shall be provided at the end of 81St Street NE and Ogden Avenue NE (currently called Ogren Avenue NE) per City Standards. Temporary easement shall be provided for the temporary cul-de-sacs. The temporary cul-de-sacs shown are too small. The City of Otsego requires a 50' radius to the back of curb. Bituminous curb is allowed on temporary cul-de-sacs. 6. The proposed Right-of-way (ROW) dedication for Odean Ave. is 50 feet. Please clearly depict the 50' ROW and dimension on all sheets. 7. The radius of 230' on 81" Street does not meet the minimum of 250'. 8. Building setbacks and lot widths at the setback on curved lots must be shown. 9. The ownership of Outlot B, Deerfield Acres, south of the Crimson Ponds North plat, appears to be a private citizen. Utilities are proposed to be installed through this Outlot and will require dedicated easements a minimum of 20' wide centered on the pipes to cover them. 10. The proposed zoning is indicated at R-4, however the City Planner has indicated that it should be R -4a. 11. Lot 17, Block I does not meet the required minimum 40 foot setback from wetlands. Lots 7 & 8, Block 5, and Lot 1, Block 6 are dependant on approval of the proposed wetland impacts to satisfy the 40 foot wetland building setback. 12. A tangent of at least 100 feet shall be introduced between reverse curves on arterial and collector streets (21-7-7. C.) The reverse curves along 82"d Street, at the north end of Odell Avenue, do not have a tangent. Label the zoning of the existing land surrounding the proposed plat here and/or on the Preliminary Plat sheet. (21-6-2.B.2) The City Planner has indicated that the proposed zoning should be R -4a. 3. It appears that various layers of the drawing are turned off/on (i.e. easement lines for slope, grading and maintenance purposes are missing, proposed drainage and utility easements are shown). Example, there is text indicating Drainage and Utility Easements, which appear to be proposed. A setback line is shown around the large wetland along Odean Avenue, which is proposed, not existing. 4. A legend shall be provided. Linetypes for property lines, easements, etc. need to be added. 5. The 33' ROW line along the Odean Avenue NE (shown as part of Parcel 2) shall be removed. The ROW was widened to 40' during the Odean Avenue NE reconstruction project per Document No. 717117. Please revise. 6. PRELIMINARY SITE PLAN AND UTILITY PLAN The sidewalk along the north side of 82nd Street NE shall be extended to Odean Avenue NE. The catchbasin located in the northeast corner of Odean Avenue NE and 82nd Street NE may need to be replaced with a flared end. The catch basin is now shown on private property. The developer may wish to consider filling in of the low area, rather than relocation of the catch basin. Either option will require permanent easement (flared end option) or a temporary easement ill option) from that adjacent property owner to perform the work. 2. 4' Berms with landscaping are required along Odean Avenue for Lot 14, Block 5 and Lot 1, Block 7. Because of the grade on Odell Avenue, the developer may wish to consider installing landscaping buffer in this location, rather than the berms. A landscaping plan would have to be submitted for review prior to approval of this option. 3. Watermain stubs shall be extended to the plat boundary for future connections. The watermain stub at the intersection of Odean Ave. and Odell Avenue should terminate approximately 50 feet Southeast of the current location. This will allow the city to push a connection under Odean Ave. in the future with minimal impacts to the existing streets. The watermain under 82nd Street should terminate in front of Lot 1, Block 1, rather than at Odean Avenue, with a hydrant at the end of the watermain. Utilities along property lines shall be covered by a 20 foot wide drainage and utility easement centered on the property line (21-7-15). The proposed watermain and sanitary sewer connection points (located in Crimson Ponds West) depicted on the plans have not been installed at this time. Portions of the sanitary sewer and watermain within Crimson Ponds West's future addition will need to be installed in conjunction with this project therefore the required downstream sanitary sewer and watermain shall be included with the Crimson Ponds North utility plans. 6. An overflow/equalizer pipe must be installed between the wetland located between Odean Avenue NE and Odell Avenue NE and the wetland located north of Block 6. The pipe shall be covered by a 20' drainage and utility easement. The 20' drainage and utility easement is not shown. 7. Services throughout the development do not match the current lot layout. Revisions made to the number of lots have not been accounted for. 8. The lift station and forcemain design calculations and plans shall be submitted for review. 9. The proposed watermain and forcemain crossing at 78th Street NE should be relocated toward the north end of Outlot B in Deer Field Acres. 10. Provide a signed easement agreement for Outlot B and Lot 1, Block 2 of Deer Field Acres for installation of utilities. 11. Per the City of Otsego Comprehensive Sanitary Sewer and Water Study for the Otsego East Study Area, an 8" sanitary sewer stub (elevation of 902.6) shall be provided at the intersection of Odean Avenue NE and Odell Avenue NE. The sewer main stub at the intersection of Odean Ave. and Odell Avenue should terminate approximately 50 feet Southeast of the current location. This will allow the city to push a connection under Odean Ave. in the future with minimal impacts to the existing streets. The last manhole could be relocated at the end of this stub. PRELINIINARY GRADING DRAINAGE AND EROSION CONTROL PLAN 1. Erosion control measures shall be in accordance with the Best Management Practices as published by the MPCA and shall meet all requirements of the permit. 2. The existing contours for the area surrounding the proposed plat shall be depicted on the plans. Compatibility of the proposed grading with the surrounding developments needs to be evaluated for drainage and aesthetics. Runoff water shall be diverted to a sedimentation basin before being allowed to enter the natural drainage system (21-7-16.F). The proposed contours and spot elevations at the intersection of Odean Avenue NE and Odell Avenue NE depict a slope of approximately 10 percent. Centerline gradients of all streets shall be at least 0.6 % and shall not exceed 7.0 % (21-7-7.F). The centerline grades are not calculated properly to the curb elevation along Odean Ave., Please revise. 6. Emergency overflows need to be shown for all wetlands and stormwater ponds within the site. The overflows also need to be covered by drainage and utility easements. WETLANDS The wetland delineation report shall be submitted for review. The wetland delineation has not been approved for this plat. Proposed wetland impacts will need to be reviewed and approved by the Technical Evaluation Panel. SURFACE WATER MANAGEMENT 1. A large drainage area west of Odean Avenue flows into the storm drain on Odean and outlets into this site. This drainage area needs to be accounted for in the existing and proposed models. 2. The storm events for 2 year and 10 year frequency do not match between the existing and proposed models. Please label the wetlands in the existing conditions drainage area map. 4. Proposed drainage area maps in the hydrology report do not include numbers. An emailed copy was used to review the information. 5. Please label the wetlands and ponds on the proposed drainage area maps. 6. In general the curve numbers and soil types appear acceptable, however the Geotechnical Report will be necessary to make a final determination. 7. Storm sewer calculations will be reviewed along with the construction drawings. ENVIRONMENTAL 1. A statement certifying the environmental condition of the site including the presence of any hazardous substances as defined in Minnesota Statues 115B.02, Subd. 8 is required. (21-6- 2.B.10) LIFT STATION 1. The council should consider the potential city incurred costs associated with maintaining a lift station. A letter from Kurt Neidermeier is attached regarding lift station requirements and PAGE 5 CADocuments and Settings\Tamilocal Setfings\Temporary Internet Files\Content.Outlook\09RYFWAZ\ot2298RVW2.doc maintenance. He indicates that there is over 100 hours of maintenance per year required per lift station. Associated costs include electrical service, staff time and fuel, equipment and forcemain inspections, repair and replacement. OTHER CONSIDERATIONS Mailboxes will be required to be located in clusters. The side of the street that the clusters are located on shall be determined by the local mail carrier/USPS. 2. The geotechnical report shall be submitted for review. The geotechnical report shall include pavement design recommendations. Soil borings are not indicated on the plans, however a Geotechnical Report is referred to on the Existing Conditions sheet, done by STS Consultants April 5, 2005. 3. Detail sheets shall be updated with the latest City Standard Plates (May 2007 revision). SUMMARY AND/OR RECOMMENDATION Due to the character of the site, the proposed wetland delineation and impacts are critical to the overall layout and acceptability of the site. Therefore we recommend the following options to consider: Approval Approve the application for the preliminary plat of Crimson Ponds North, contingent upon the above comments being addressed. Denial/Table Deny or table the application until all required items listed in the application have been submitted and reviewed. The above comments must be addressed prior to approval and the wetland delineation and review process must be initiated and accepted by the Technical Evaluation Panel prior to approving the proposed application. The Social Host ordinance is intended to address a loop hole in State Statute regarding provision of alcohol to minors by adults and addresses the following issues: ■ Sheriffs Deputies responding to house parties where alcohol is being provided to minors have the ability to issue citations to the consuming minors under existing State and local laws. ■ The Statutes/Ordinances do not allow Sheriffs Deputies to hold responsible the homeowner knowingly providing the alcohol to minors as the "host" of the party. A Social Host ordinance is not an expansion of police powers as it would be applied only in situations where Sheriffs Deputies are responding and issuing citations for underage consumption either at a private residence or at a public place such as a hotel. The draft Social Host ordinance also does not infringe on private family activities between a parent and their minor children within their own home as these situations are specifically exempted. Holding the adult host of the party responsible for the provision of alcohol to non -family minors is primarily intended as being a greater deterrent to underage drinking facilitated by adults. The Police Commission considered whether to recommend City Council approval of a Social Host ordinance at meetings in March, April and May. While the Police Comission did not believe there is an issue within the City currently regarding underage alcohol, the members did recognize that a Social Host Ordinance is another tool for law enforcement to address potential problems if they occur in the future. The conclusion of the Police Commission was that it was better to be prepared and have the ordinance in place versus trying to react to an established problem later. The Police Commission voted 4-0 to recommend City Council approval of the draft Social Host ordinance attached hereto. The City Council will consider the draft Social Host ordinance and recommendations of the Police Commission at their meeting on 9 June 2008. C. Chapter 5 of the Otsego City Code is amended by adding Chapter 10 to read: CHAPTER 10 SOCIAL HOSTS Section 5-10-1 Purpose and Findings 5-10-2 Definitions 5-10-3 Prohibited Acts 5-10-4 Exceptions 5-10-1: PURPOSE AND FINDINGS: The City Council intends to discourage underage possession and consumption of alcohol, even if done within the confines of a private residence, and intends to hold persons criminally responsible who host events or gatherings where persons under 21 years of age possess or consume alcohol regardless of whether the person hosting the event or gathering supplied the alcohol based on the following findings: A. Events and gatherings held on private or public property where alcohol is possessed or consumed by persons under the age of twenty-one are harmful to those persons and constitute a potential threat to public health requiring prevention or abatement. B. Prohibiting underage consumption acts to protect underage persons, as well as the general public, from injuries related to alcohol consumption, such as alcohol overdose or alcohol-related traffic accidents. C. Alcohol is an addictive drug which, if used irresponsibly, could have drastic effects on those who use it as well as those who are affected by the actions of an irresponsible user. D. Often, events or gatherings involving underage possession and consumption occur outside the presence of parents. However, there are times when the parent(s) is/are present and, condone the activity, and in some circumstances provide the alcohol. E. Even though giving or furnishing alcohol to an underage person is a crime, it is difficult to prove, and an ordinance is necessary to help further combat underage consumption. F. A deterrent effect will be created by holding a person criminally responsible for hosting an event or gathering where underage possession or consumption occurs. 5-10-2: DEFINITIONS: For purposes of this Section, the following terms have the following meanings: ALCOHOL: means ethyl alcohol, hydrated oxide of ethyl, or spirits of wine, whiskey, rum, brandy, gin, or any other distilled spirits including dilutions and mixtures thereof from whatever source or by whatever process produced. ALCOHOLIC BEVERAGE: means alcohol, spirits, liquor, wine, beer, and every liquid or solid containing alcohol, spirits, wine, or beer, and which contains one-half of one percent or more of alcohol by volume and which is fit for beverage purposes either alone or when diluted, mixed, or combined with other substances. EVENT OR GATHERING: means any group of three or more persons who have assembled or gathered together for a social occasion or other activity. HOST OR ALLOW: means to aid, conduct, entertain, organize supervise, control, or permit a gathering or event. PARENT: means any person having legal custody of a juvenile as a natural, adoptive parent, or step-parent; as a legal guardian; or as a person to whom legal custody has been given by order of the court. PERSON: means any individual, partnership, co -partnership, corporation, or any association of one or more individuals. A person does not include any city, county, or state agency. RESIDENCE, PREMISES OR PUBLIC OR PRIVATE PROPERTY: means any home, yard, farm, field, land, apartment, condominium, hotel or motel room, or other dwelling unit, or a hall or meeting room, park, or any other place of assembly, whether occupied on a temporary or permanent basis, whether occupied as a dwelling or specifically for a party or other social function, and whether owned, leased, rented, or used with or without permission or compensation. UNDERAGE PERSON: is any individual under twenty-one (21) years of age. 5-10-3: PROHIBITED ACTS. A. It is unlawful for any person(s) to host or allow an event or gathering at any residence, premises, or on any other private or public property where alcohol or alcoholic beverages are present when the person knows that an underage person will or does: Consume any alcohol or alcoholic beverage; or 2. Possess any alcohol or alcoholic beverage with the intent to consume it and the person fails to take reasonable steps to prevent possession or consumption by the underage person(s). B. A person is criminally responsible for violating 5-10-3.A above if the person intentionally aids, advises, hires, counsels, or conspires with or otherwise procures another to commit the prohibited act. C. A person who hosts an event or gathering does not have to be present at the event or gathering to be criminally responsible. 5-10-4: EXCEPTIONS. A. This Section does not apply to conduct solely between an underage person and his or her parents while present in the parent's household. B. This Section does not apply to legally protected religious observances. C. This Section does not apply to retail intoxicating liquor or 3.2 percent malt liquor licensees, municipal liquor stores, or bottle club permit holders who are regulated by Minn. Stat. §340A.503 Subd.1(a)(1). D. The majority of the proposed changes are either updating the dates or items that we had already agreed to change in the past. They are proposing a 5 year agreement at a price of $44,602 per month. In 2007 we paid them $41,989 per month. ITEM 11_1 OPERATION AND MAINTENANCE AGREEMENT This Operation and Maintenance Agreement (the "Agreement") dated as of 20052008, is between the City of Otsego, Minnesota, a municipal corporation (the "Owner"), whose address is 8899 Nashua Avenue NE, Otsego, Minnesota 55330, and PEOPLESERVICE, INC., and its successors and assigns ("PeopleService"), whose address is 209 S. 19th Street, Suite 555, Omaha, Nebraska 68102. RECITALS: WHEREAS, Owner is the owner of a municipal water and wastewater treatmentIp ant facility as described in Exhibit A to this Agreement (the "Facilities"); and WHEREAS, Owner desires to engage PeopleService to operate and maintain the Facilities on behalf of Owner and PeopleService desires to accept such engagement, all upon the terms and conditions hereafter set forth; and WHEREAS, Owner is authorized by law to enter into this Agreement. NOW, THEREFORE, in consideration of the premises and the mutual covenants herein contained, the parties agree as follows: ARTICLE I - SCOPE OF SERVICES 1.1 Commencing on July 1, 20052008, or such other date mutually acceptable in writing to PeopleService and Owner (the "Effective Date"), PeopleService will provide all routine operation and maintenance of Owner's Facilities on a 7 day per week basis within the design capacity of the Facilities as described in Exhibit A to this Agreement ("Description of Facilities"). The routine operation and maintenance services to be provided by PeopleService are further described in Exhibit B of this Agreement. H:wwwVscntrct\0tsego.wp6 1.2 Commencing with the Effective Date of this Agreement, PeopleService shall implement continue the use of its standard operating procedures., and PeopleService shall place into operation preventive maintenance and process control programs, including documentation of operation and maintenance procedures conducted for the water and wastewater utility system. Such records shall be available for inspection by Owner at all reasonable times. 1.3 PeopleService will be responsible for expenses incurred in the routine operation and maintenance of the Facilities, including personnel services, utilities communication services consisting of three (3) phone lines and the high speed intemet service (electricity, natural gas and diesel fuel used for the backup generator shall remain the responsibility of the Owner), chemicals subject to the provisions contained in Section 4.3 of this Agreement), materials, supplies, contracted services, insurance, and equipment repair (subject to the provisions contained in Sections 1.4 and 2.1.b of this Agreement). 1.4 PeopleService shall provide all required maintenance to preserve the existing life of all assigned equipment and vehicles of the Facilities. PeopleService will bear the expense of maintenance and repair of all equipment, physical facilities, and vehicles assigned for PeopleService's use, except for capital replacement expenditures as defined in section 2.1 (b), provided that such expense does not exceed a maximum annual maintenance/repair (noncapital) expenditure of $15,650 $30,000 for the first year of this Agreement. In subsequent years, the maximum annual maintenance/repair expenditure will be increased by the C.P.I. adjustment contained in section 4.2 of this Agreement. In performing maintenance and repairs, PeopleService will perform in an economical manner and make all reasonable efforts to remain below the annual maintenance/repair expenditure amount while remaining in compliance with all applicable regulations. PeopleService will refund to Owner any unused monies less than the maintenance/repair expenditure amount. In the event that such expenses approach or exceed this maximum annual amount, PeopleService shall promptly notify Owner. Any repair expenses in excess of the maximum amount set forth in this provision shall be approved by Owner. PeopleService shall invoice Owner the amount of maintenance/repair expenses in excess of the maximum annual maintenance/repair limit set forth in this provision at the end of the 12 -month period. Owner shall reimburse PeopleService for such excess expenditures. H:www\fscntrcN0tsego.wp6 1.5 PeopleService will provide properly certified employees for the staffing of Facilities. Backup services will be provided by PeopleService corporate personnel. In addition, PeopleService will be on call 24 hours per day, 7 days per week, for emergency situations. 1.6 PeopleService shall advise Owner and serve as Owner's liaison to regulatory agencies and industrial users in matters related to the operation of the Facilities. However, PeopleService will not act as, or provide, legal counsel in this capacity. 1.7 PeopleService will supervise all regulatory compliance and financial transactions pertaining to the day-to-day operation of the Facilities. Subject to the limitations of this Section 1.7, PeopleService shall operate the Facilities in compliance with state and federal regulatory requirements. PeopleService will pay all fines imposed for process upsets and violation of discharge limits unless the process upsets or violations are attributable to: (a) Flows or pollutants which are not within the Design Capabilities of the Facilities; pollutants include, but are not limited to soluble oil, heavy metals, excessive suspended solids and excessive organic loadings; (b) The malfunction or failure of equipment which is not solely due to the negligent acts, errors or omissions of PeopleService; (c) Construction activities which are undertaken to improve the wastewater treatment process but which are beyond the operating scope of services of PeopleService as delineated in this Article I; or (d) Discharges from industrial facilities in violation of any pretreatment standards applicable to those discharges. In no event shall PeopleService be responsible for the payment of state or federal fines imposed or damages, attorney fees, and court costs awarded as a result of actions, inactions, process upsets or violations which occurred prior to or existed on the Effective Date of this Agreement, and which are not due solely to the negligence of PeopleService, nor shall H:www\fscntrct\0tsego.wp6 PeopleService be responsible for payment of any fines, penalties, damages or attorney's fees resulting from requirements not expressly assumed by PeopleService herein, including any reporting requirements. With regard to potable water supplies, PeopleService will not be responsible for inherent water quality that fails to meet specifications of the Safe Drinking Water Act and amendments thereto concerning inorganic chemicals, pesticides, volatile organic chemicals, synthetic organic compounds, lead and copper standards. However, PeopleService will use its best efforts to treat Owner's potable water supplies to meet drinking water standards. 1.8 PeopleService shall exercise the due care in performing its obligations and duties under this Agreement which is normally and reasonably provided with respect to similar contract services. 1.9 PeopleService will provide and maintain at all times during the term of this Agreement the following minimum insurance coverage: (a) Statutory Workers' Compensation Insurance in compliance with the laws of the state of Minnesota which has jurisdiction of PeopleService employees engaged in the performance of services hereunder; together with Employers Liability coverage in the amount of $500,000 for each incident; (b) General liability coverage of at least $5,000,000 combined single limit, each occurrence, for bodily injury and property damage with Owner named as additional insured; and (c) Comprehensive auto liability insurance which shall include $500,000 combined single limit coverage for bodily injury and property damage. PeopleService will furnish Owner with Certificates of Insurance as evidence that policies providing the required coverage and limits are in full force and effect. Such policies shall provide that no less than thirty (30) days' advance notice of cancellation, termination or alteration shall be sent directly to PeopleService and Owner. H:www\fscntrct\Otsego.wp6 ARTICLE II - RESPONSIBILITIES OF OWNER 2.1 As part of this Agreement Owner agrees to assume the following responsibilities: (a) Owner shall maintain in full force and effect, in accordance with their respective terms, all guarantees, warranties, easements, permits, licenses and other similar approvals and consents received or granted to Owner as owner of all Facilities and component parts thereof; (b) Owner shall be responsible for all capital replacement and major maintenance/repair expenditures which are defined as nonrecurring expenditures greater than $1,000, that Owner determines necessary and required, provided that PeopleService will first be consulted for justification and need; (c) Owner shall be responsible for filing, obtaining, and maintaining current water supply operations permit and NPDES permit for discharge of wastewater; wellhead protection plans, DNR water appropriation reports, DNR water emergency plans and conservation plans, mercury minimization plans, phosphorus management plans; and for filing all required reports under the Emergency Planning and Community Right -To -Know Act or any other statute or authority as well as the publishing of the annual Consumer Confidence Report (CCR) required by the Safe Drinking Water Act; provided, however, PeopleService shall assist Owner with preparing these filings and reports and shall provide ongoing assistance regarding the maintenance of these permits, plans and reports; (d) Owner shall at all times provide access to the Facilities for PeopleService, its agents and employees; (e) Owner shall provide PeopleService the use of all existing equipment owned by Owner, including a plow/hoist truck, necessary for the operation and maintenance of the Facilities and warrants that such operating equipment is in good condition; H:www\fscntrct\Otsego.wp6 (f) Owner shall be responsible for all damage to the Facilities, components thereof, PeopleService equipment on site, and all resulting liability to any and all third parties, when such damage and/or liability are caused by flood, fire, acts of God or other force majeure events, civil disturbance, extreme cold temperatures, excessive subsoil moisture, or misuse of property to the extent Owner was negligent regarding the misuse of such property; (g) Owner shall be responsible for all fines imposed for process upsets and violations of discharge limits attributable to the operation and maintenance of the Facilities to the extent set forth in Section 1.7 as well as fines imposed for failure to report as required by Section 2.1(c); (h) Owner shall designate an individual to act as liaison with PeopleService in connection with the performance of services by PeopleService under this Agreement; (i) Owner shall be responsible for all property, excise and other taxes assessed on the Facilities; and (j) Owner shall bear all costs incurred as a result of regulatory requirements not in effect on the Effective Date of this Agreement.:.; and W Owner agrees to provide up to 700 hours of labor from its municipal employees to assist PeopleService with routine fire hydrant flushing and manhole inspections. 2.2 Owner shall maintain in full force and effect all existing policies of property and general liability insurance pertaining to the Facilities. Owner shall furnish PeopleService with Certificates of Insurance as evidence that such policies are in full force and effect under such policies. Such policies shall provide that no less than thirty (30) days' advance notice of cancellation, termination or alteration shall be sent directly to PeopleService and Owner. 2.3 Owner shall indemnify and hold PeopleService, its officers, employees and agents, harmless under this Agreement for any and all claims, damages, costs or expenses caused by H:wwwVscntrct\0tsego.wp6 malfunction or failure of the Facilities or any components thereof or other liability or loss including injury, death, or damages to any person or property related in any way to the performance of this Agreement to the extent such claims, damages, costs, expenses, liability or loss are caused by the negligent acts, errors or omissions of Owner. Additionally, Owner shall indemnify PeopleService, its officers, employees and agents harmless for any and all fines, penalties, attorney's fees and damages resulting from Owner's failure to comply with permitting, reporting or other statutory or regulatory requirements which are the responsibility of the Owner. This provision shall survive the termination of this Agreement. ARTICLE III - RESPONSIBILITIES OF PEOPLESERVICE 3.1 PeopleService shall indemnify and hold Owner, its employees and agents, harmless under this Agreement for all claims, damages, costs or expenses caused by malfunction or failure of the Facilities or any components thereof or other liability or loss including injury, death, or damages to any person or property related in any way to the performance of this Agreement to the extent such claims, damages, costs, expenses, liability or loss are caused by the negligent acts, errors or omissions of PeopleService. This provision shall survive the termination of this Agreement. ARTICLE IV - COMPENSATION 4.1 As compensation for services rendered by PeopleService pursuant to this Agreement, Owner shall pay to PeopleService the sum of $45,667$44,602 per month during the first twelve (12) months of this Agreement, commencing with the Effective Date. The monthly payment shall be due and payable on the first day of the month in which services are to be rendered. All other compensation to PeopleService is due upon receipt of PeopleService's invoice and payable within thirty (30) days of the date of the invoice. 4.2 The monthly compensation provided in Section 4.1 shall be adjusted on July 1St of each year, beginning on July 1, 20062009. The basis for the annual adjustment for July 1, 20062009 shall be the change in the Consumer Price Index for All Urban Consumers (CPI -U) as regularly reported by the U.S. Bureau of Labor Statistics, between April 20052008 and April 20062009. For each year thereafter, the adjustment shall be the change in the CPI -U as H:wwwVscntrct\0tsego.wp6 reported between April of the year preceding the year of adjustment and April of the year of adjustment. This annual adjustment shall be done by letter acknowledging the change and will not require official action or contract amendment. 4.3 Within sixty (60) days of the end of the first twelve months after the Effective Date of this Agreement, PeopleService shall provide the Owner with a statement showing the amount of money expended on chemicals, diesel fuel (used for backup -generators), natural gas and electrical ener-gy at the facilities. Should the amount of actual expenditures for chemicals and electrical energy be less than the "base amount", PeopleService will include a refund equal to the portion of the base amount that remains. If the actual expenditures exceed the base amount, PeopleService shall include an invoice equal to the amount actual expenditures exceed the base amount, which the Owner agrees to pay in accordance with the terms of Section 4.1 of this Agreement. The "base amount" for the first twelve months of this Agreement shall be $186,290 $60,000. The base amount shall be escalated annually in accordance with Section 4.2 of this Agreement. ARTICLE V - TERM OF AGREEMENT 5.1 This Agreement shall remain in full force and effect for three 3 five 5 years from the Effective Date. The Agreement shall be automatically renewed for successive terms of one (1) year each unless written notice of cancellation is given by either party to the other no less than ninety (90) days prior to the date of expiration. ARTICLE VI - TERMINATION 6.1 This Agreement may be terminated by either party in the event of the other party's breach of a material term of the Agreement, by the first party's giving written notice of such breach and the second party's failure to correct within thirty (30) days of receipt of such notice. 6.2 PeopleService shall not be in breach under this Agreement for its failure to perform its obligations under this Agreement, to the extent that the performance of such obligations is prevented or delayed by any event which is beyond the reasonable control of PeopleService, including but not limited to Acts of God, strikes, labor disputes, and unavailability of parts. In the event PeopleService claims that its performance is prevented or delayed by any such H:www\fscntrct\Otsego.wp6 event, PeopleService will promptly notify Owner of that fact and the circumstances preventing or delaying its performance. ARTICLE VII - MISCELLANEOUS 7.1 Any temporary or portable equipment which is provided by PeopleService during the term of this Agreement and which is not deemed part of the Facilities shall remain the property of PeopleService upon termination of this Agreement. PeopleService shall not make any expenditures for capital replacements of the Facilities or any component thereof without the prior approval of Owner unless there is an emergency. An emergency exists when such expenditures are necessary to continue operation of Owner's Facilities or to provide for public health, safety or environmental protection. If there is an emergency, PeopleService shall provide Owner with verbal notice of the need for the capital replacement expenditure as soon as possible. Owner shall reimburse PeopleService for such emergency capital replacement expenditures in accordance with Section 4.1 of this Agreement. 7.2 This Agreement represents the entire agreement of the parties and may only be modified or amended in a writing signed by both parties. 7.3 Written notices required to be given under this Agreement shall be deemed given when mailed by first class mail to PeopleService, Attention: President, and to Owner, Attention: City Administrator, at the addresses set forth for each in the opening paragraph of this Agreement. 7.4 This Agreement shall be governed by, and construed in accordance with, the laws of the state of Minnesota. 7.5 Neither party shall assign, in whole or in part, any of the rights, obligations or benefits of this Agreement except to a parent, affiliate, or wholly-owned subsidiary, without the prior written consent of the other party, which consent shall not be unreasonably withheld. For purposes of this Section 7.5, an affiliate is defined as a company, the controlling interest in which is owned by the parent of the party. H:www\fscntrct\0tsego.wp6 7.6 Upon the Effective Date of this Agreement, that certain_Operation and Maintenance Agreement dated April 10, 2000 November 16, 2005 between the Owner and PeopleService shall automatically terminate and shall be superseded by this Agreement. The west watersystem is a Class "D""C' water system consisting of two2)three water production wells [well #4,, with a submersible pump; and well #5 and #7 with a submersible pumps], one (1)two (2) well houses with chemical addition equipment for adding chlorine, fluoride and polyphosphate; one (1) elevated water storage tank with a capacity of 1,000,000 gallons; one (1) 15,000 gallon capacity hydro pneumatic water storage tank; one (1) portable emergency generator; and a H:www\fscntrct\Otsego.wp6 water distribution system containing approximately 55,000 163,000 lineal feet of water mains of various sizes (with diameters of 6 to 16 inches), approximately 250500 fire hydrants, 5501,000 water valves, corporation stops, city service lines and curb stops. Wastewater Systems: The east wastewater system is made up of a wastewater collection system that contains threefour (4) lift stations [stations #1 & #5 are submersible triplex stations, station #2 and #8 are is a duplex stations, and the Market Place station is a simplex grinder station], approximately 75,000115,000 lineal feet of interceptor sewer lines of varying sizes (from 8 inch to 18 inch in diameter), approximately 20,000 50,000 lineal feet of eight (8) inch force main, approximately 400600 manholes and ten (1025) air release manholes, and eighty (80) force main insolation valves; and a Class "C"A" wastewater treatment plant containing pretreatment (a mechanical bar screen and grit removal) and process treatment through extended aeration incorporating specialized zones for nutrient reduction with chemical addition available for assisted phosphorous removal [process clarification occurs prior to disinfection and reaerationl. Structures and equipment at this facility include a control building with laboratory/office area, control room., blower room and pump gallery (which contains three (3) return activated sludge pumps, two (2) waste activated sludge pumps and two (2) sump pumps) and an attached pretreatment room with mechanical screening equipment;and mechanical grit removal; three (3)two (2) oxidation ditches [ditch #1 uses an aerator incorporating four (4) selector tanks with individual mixers, ditch #2 uses a VFD controlled aerator based on an in line dissolved oxygen meter set point-, ditch #2 also incorporates three (3) anaerobic tanks and an anoxic zone each containing individual mixers]; three (3)two (2) final clarifiers; a chemical building for ferric chloride addition for phosphorous removal; a blower building containing six (6) blowers [four $) using variable frequency drives]' and a disinfection building using ultra violet light (UV) disinfection; and in line pH and dissolved oxygen monitoring; effluent re -aeration; one (1) aerobic sludge digester with a decant tank; two 2 aerobic digesters with decant piping; one (1)five (5) sludge storage tanks; a sludge thickening building which houses one (1) 85 qpm gravity belt thickener, a polymer H:wwwVscntrct\Otsego.wp6 injection/mixing system and a pump room with two (2)three (3) progressive cavity pumps. The site also maintains a 900 KW and one (1) emergency generator. The treatment plant has a design average dry weather flow of 0.3200.900 mgd, an average wet weather flow of 0.4001.100 mgd, a peak hourly flow of 0.9383.294 mgd and a CBOD loading of 250 mg/12,082 pounds per day. The west wastewater system is made up of a wastewater collection system that contains three (3) five (5) lift stations [station #3 and #4 are submersible triplex stations and stations #6 and #7 isare a submersible duplex stations], approximately 70,000110,000 lineal feet of interceptor sewer lines of varying sizes (from 8 inch to 18 inch), approximately 2,000 lineal feet of eight (8) inch force main, approximately 490 50,000 lineal feet of force main, approximately 600 manholes, seven 7 twenty-five (25) air release manholes and three force main clean out manholes seventy (70) force main isolation valves, and a Class "B" wastewater treatment plant containing pretreatment consisting of mechanical screening and grit removal with process treatment accomplished through extended aeration incorporating specialized zones for nutrient reduction with chemical addition available for assisted phosphorous removal [process clarification occurs prior to disinfectionl; structures at the plant include a control building with laboratory/office areas and control room, a preliminary treatment building with mechanical screenings removal, mechanical grit removal, and a pump gallery containing three (3) return activated sludge pumps, two (2) waste activated sludge pumps, and one 1 two 2 sump pumps; two (2) oxidation ditches; three (3) anoxic selector tanks for biological phosphorous removal; three (3) anoxic tank mixers; two (2) final clarifiers; chemical addition for phosphorous removal; ultra violet light (UV) disinfection; one (1) aerobic sludge digester and decant pump, one (1) one million gallon sludge storage tank and decant pump; a sludge thickening building which houses one (1) gravity belt thickener, a polymer injection/mixing system, a pump room with four (4) progressive cavity pumps and one (1) sludge storage mixing pump, a chemical room for chemical addition phosphorous removal and a blower room with three (3) blowers; and one (1) 600 KW stationary emergency generator. The treatment plant has an average design flow capacity of 0.600 mgd with an influent CBOD H:www\fscntrct\Otsego.wp6 loading of 204 mg/I, influent TSS strength of 240 mg/L and a influent total phosphorous loading of forty (40) pounds per day. H:www\fscntrct\Otsego.wp6 OPERATION AND MAINTENANCE AGREEMENT EXHIBIT B Services to be Provided by PeODIeService Except as otherwise provided in the Operation and Maintenance Agreement, and subject to the limitations set forth therein, PeopleService shall provide the following services to Owner in connection with the Facilities: PeopleService will provide the personnel necessary to manage, operate and maintain the City's water production, water treatment, water distribution, wastewater collection and wastewater treatment facilities in order to achieve optimum performance and to maintain equipment for system integrity, within the Owner's budgeted resources. PeopleService will provide technical training to the water and wastewater operators on treatment process, preventive maintenance techniques, and safety awareness, including the continuing education units (CEU's) necessary for the operating personnel to maintain their licenses. PeopleService will procure and pay for all utilitiescommunication services including three (3) phone lines and high speed internet service (except for the alarm systems), consumable supplies, chemicals, vehicle fuels, and materials and services (except the annual Generator System Services, Inc contract) necessary for the safe and efficient day to day operations. Monitor, sample, analyze, and report as required by the Minnesota Department of Health (MDOH) in matters related to municipal water supply. Testing will include those tests necessary to maintain the daily operation of the water system and for coliform bacteria. Any additional testing costs as required by regulatory agencies such as but not limited to inorganic chemicals, synthetic organic chemicals, volatile organic chemicals and pesticides will be the responsibility of the Owner. H:www\fscntrct\Otsego.wp6 PeopleService will monitor, sample, analyze, and report as required by the Minnesota Pollution Control Agency (MPCA) and the NPDES permits issued for the wastewater treatment facilities, excluding the Priority Pollutants and Acute Toxicity testing as defined in Chapter 1 of NPDES Permit MN 0064190. Testing will also include those tests necessary to optimize and maintain the daily operation of the wastewater treatment plants. PeopleService will act as a liaison between the Owner and the MDOH/MPCA and to the federal E.P.A. in matters relating to compliance with water quality and discharge requirements, and other liaison activities, as required. PeopleService will be responsible for effluent quality, including liability for fines and civil penalties should permit conditions be violated, while plant loadings and flows are within the design capability of the wastewater treatment plant, but only in those situations where the permit condition could have been met using existing in-place plant equipment. PeopleService will coordinate and direct the disposal of the sludgebio-solids from the wastewater treatment plants (a properly certified operator will, on behalf of the Owner, seek quotes from firms for the application of the biosolids; will, using its bets efforts, secureassist in securing land application sites; and will oversee the actual application of the biosolids using the contractor selected by the Owner). Any cost of securing or maintaining the land application sites and the cost of the third party contractor doing the actual disposal work will remain the responsibility of the Owner. In addition, PeopleService will maintain the required records for compliance with the MPCA and "503" sludge regulations. PeopleService will implement the use of a comprehensive, preventative maintenance program in an attempt to ensure the projected life expectancy of plant equipment, and will enforce existing equipment warranties and guarantees, and maintain all warranties on any new equipment purchased after the effective date of an agreement. H:www\fscntrct\Otsego.wp6 With assistance from the Owner's employees, PeopleService will flush all fire hydrants as necessary twice each year to maintain water quality in the distribution system. Preventative maintenance shall be performed on all hydrants on an annual basis. PeopleService will implement a water main valve exercising program that will include the identification of valve locations in a "Tie Book" and the periodic operation of all valvesoperation of twentv percent (20%) of the valves each near. With assistance from the Owner's employees, PeopleService will implement a sanitary sewer manhole inspection program that will include the identification of manhole locations in a "Tie Book" and the periodic inspection of all manholes inspection of twenty percent (20%) of the manholes each year. With respect to water meters, PeopleService will complete all required rereads, perform repairs, and respond to high/low usage complaints. In addition, PeopleService will complete all turn "ons" and turn "offs" of water service requested by the Owner, but all other work with water meters/service (such as but not limited to high/low usage complaints, bulk water sales, meter installations, meter repairs, etc.) shall be the responsibility of the Owner. If repairs of the Owner's water distribution system or wastewater collection system are to be made, and excavation is required, PeopleService will coordinate the repair using a contractor chosen by the Owner. The excavation, repair and any surface restoration work will be the responsibility of the contractor, with the cost of the contractor being the responsibility of the Owner. PeopleService will maintain cleanliness of process equipment and buildings, and general appearance of all buildings and grounds, except for the mowing of grass and the plowing of snow, and will conduct operations such that nuisances of sight, sound, and odor are eliminated or minimized to the extent reasonably possible. H:wwMfscntrct\Otsego.wp6 Using a vehicle provided by the Owner, PeopleService will plow the snow at all water and wastewater facilities, including lift stations, and when possible, will pull pumps for necessary routine maintenance, repairs and inspections. Within the limits of available security devices, PeopleService will secure and protect utility facilities for which it is responsible. PeopleService will provide a monthly, written report to designated Officials of the Owner, summarizing plant performance, production, flows, major projects or accomplishments, and preventive and corrective maintenance activities for the month. PeopleService will comply with all applicable city, state, and federal laws, regulations, and administrative rules. PeopleService will use a professional manner in dealing with community groups concerned with any facet of the operations, including tours and other public relations programs. PeopleService will coordinate and cooperate with the Owner's Engineer and contractors to facilitate the completion of any expansion or improvement to the facilities. PeopleService will serve as liaison between the Owner and any new or existing major contributing industries, and provide technical assistance to the Owner in consultation to existing industries and to any new industries, in matters relating to their pretreatment process, or agreements with the Owner and/or the MPCA. PeopleService offers several types of professional services to our clients without charge. We term these additional services as "value added" services that clearly differentiate us from the typical O&M contract services provider. By providing these studies, audits, and assessments, we hope to gain a firm knowledge of our client's systems and at the same time increase our value to them so that we are H:www\fscntrct\0tsego.wp6 able to establish a long-term, lasting relationship. THE CITY COUNCIL OF THE CITY OF OTSEGO DOES HEREBY ORDAIN: Section 1. Section 3-1-1 of the City Code (Planning Commission) is hereby amended to include the following provision: F. Removal From Office: Any member of the Planning Commission may be removed from office with or without cause by a four-fifths (4/5) vote of the entire City Council. 2. Any member of the Planning Commission who misses three (3) consecutive Planning Commission meetings in a calendar year, calculated at the end of each calendar year, due to unexcused absences, shall automatically be removed from office without City Council action and the City Clerk shall notify the member of their removal. Excused absences include: a serious personal or family medical condition, death in immediate family or unanticipated work-related commitment. It shall be the duty of each member to notify the City Clerk if the member will be unable to attend a meeting. Section 2.
