Despite public statements to the City Council to the contrary, Mr. Chris Bulow has or is exploring several potential development projects outside of Riverwood National that would be dependent upon expansion of the Riverwood National Wastewater Treatment Plant (RN -WWTP) including the following: • On 12 May 2005, Mr. Bulow, Elk River School District Superintendent Alan Jensen and representatives of a second development company attended the Development Staff Meeting to discuss potential development of the Weidenbach property located north of 80 Street and mostly west of CSAH 19. This proposed development would include expansion of the RN -WWTP and extension of sanitary sewer service for approximately 500 homes, school facilities and a potential community park. • Another developer attended the staff meeting on 19 May 2005 to discuss potential development of the five acre exception to Riverwood National at the corner of CSAH 39 and Kadler Avenue with townhouse uses. Utility pipes have been constructed with the initial Riverw000d National development to ensure that future service can be provided without impacting the golf course. Development of this exception parcel was not included in the PUD District approvals. • Mr. Bulow faxed to our office a sketch showing redevelopment of the existing Vintage Golf Course with 75 single family lots served by sanitary sewer service from the RN -WWTP requesting a zoning compliance letter stating that the sketch plan would be within the allowances of the Comprehensive Plan and Zoning Ordinance. The response to these and other inquiries about the potential expansion of the RN- WWTP has been that such action would be inconsistent with policies established by the Comprehensive Plan and PUD District approvals for Riverwood National and in the case of the Vintage Golf proposal, past zoning approvals for that project as well. • The Comprehensive Plan and development policy adopted by the City Council limits sewered development to an average of 400 new dwellings per year for period of 1999 to 2008 — it is impractical if not impossible to open third node of sewer development served by the RN -WWTP and maintain targeted levels of development. • The proposed development of lands adjacent to Riverwood National with urban density development is out of sequence with the staging plan established by the Comprehensive Plan, which designates the area as the fourth expansion area of the west sewer district. Such leap -frog development has significant consequences beyond provision of utilities including street capacity /maintenance, park development/maintenance, general City administrative capabilities as well as school facilities. • Approval of Riverwood National and its waste water treatment plant was granted under a loophole in the Comprehensive Plan that no longer exists. • The waste water treatment plant yet to be constructed in Riverwood National is to be an interim facility. At such time as the West Waste Water Treatment Plant (W -WWTP) and its collection system are extended to include Riverwood National, the RN -WWTP will likely be decommissioned. It would be inefficient for the City to operate three waste water treatment plants to provide sewer to areas that can be adequately serviced by staged expansion of the City's two existing waste water treatment plants in accordance with the Comprehensive Plan and sanitary sewer and water plans. • The City cannot collect second SAC fees for connection of the properties in Riverwood National to the west waste water treatment system, requiring the City to absorb these costs when the Riverwood National treatment plant is decommissioned. These future costs make adding more users to the Riverwood National treatment plant beyond the current approved development more financially burdensome to the City in the future. • Use of the RN -WWTP to serve land beyond Riverwood National has only been anticipated by the City to occur if there were to be a demonstrated environmental need from existing development in close proximity to the facility that cannot be feasibly served by the W -WWTP. This situation would be limited to requests for service from existing one -acre single family lots within Island View Estates or Riverwood Conference center. Expansion of capacity and the collection system of the RN -WWTP in only this situation would be consistent with policies established by the Comprehensive Plan. 2 In order to provide a definitive statement as to the City's policy towards the RN -WWTP as to its potential expansion to serve land beyond Riverwood National, City staff is recommending adoption of the attached resolution. The City Council may also consider directing the Planning Commission to process a formal amendment to the Comprehensive Plan to give greater standing to the City Council's policy action. c. WHEREAS, the City Council approved a PUD Development Stage Plan and Preliminary Plat for Riverwood National on 8 July 2002; and, WHEREAS, these approvals allowed for approval of a final plat on 22 September 2003 for development of 157 single family dwellings and an 18 hole golf course and ancillary facilities within Riverwood National; and, WHEREAS, these approvals provide for the allowed uses within Riverwood National to have sanitary sewer service by a wastewater treatment plant to be constructed by the project developer; WHEREAS, the design of the Riverwood wastewater treatment plant is approved by the City Council to provide capacity only as required for the project and is subject to approval by the City Engineer; and, WHEREAS, upon construction of the Riverwood National wastewater treatment plant and establishment of operations, said facility is to be dedicated to the City for long -term ownership, operation and maintenance; and, WHEREAS, the project developer has yet to begin construction of the proposed Riverwood National wastewater treatment plant to provide service to the development; and, WHEREAS, the City has adopted a Comprehensive Plan that includes a staging plan for expansion of sanitary sewer service and extension of sanitary sewer to lands adjacent to or in proximity of Riverwood National would be inconsistent with these plans and would negatively impact the City's service capabilities; and, WHEREAS, the lands adjacent to or in proximity of Riverwood National would be anticipated to be provided sanitary sewer service from the City's established West wastewater treatment plant and the operation and maintenance 1 of two wastewater treatment plants where one facility is adequate is inherently inefficient; and, WHEREAS, the City cannot collect additional fees or assess charges to existing users of the Riverwood National wastewater treatment system for construction of capacity at the West wastewater treatment plant at such time as the Riverwood National wastewater treatment system is integrated with the West wastewater treatment system; and, WHEREAS, the expansion of the Riverwood National wastewater treatment plant and its collection system to service additional users beyond Riverwood National increases the future costs to the City to integrate the Riverwood National wastewater treatment system with the West wastewater treatment System; and, WHEREAS, the City has received numerous informal inquiries as to the potential to expand the capacity of the Riverwood National wastewater treatment plant and its collection system to provide service beyond the Riverwood National project; and, WHEREAS, the City Council is to definitively memorialize its policy and intent regarding the potential expansion of the capacity of the Riverwood National wastewater treatment plant and its collection system to provide service beyond the project by this resolution. The Planning Commission originally opened a public hearing on this application on 18 October 2004 to consider the request, but continued that hearing until site issues and reconstruction of the frontage road and extension of utilities have been resolved. There were no comments from the public at the second public hearing. Comments from the public hearing last October were limited to those of other property owners within Mississippi Shores concerned about the frontage road and utility issues and one resident urging that a tire store not be approved based on market factors. The City Council is fully aware of issues related to the Mississippi Shores improvement project. With regards to the comment not to allow a tire and auto store, the Zoning Ordinance establishes district in which certain specific uses are allowed. If a use that is allowed within a zoning district is proposed for a site designated s that district, the City has limited opportunity to deny the use if all applicable performance standards are met. Bob Fields of LandCor spoke on behalf of the application. The developer's only concern with City staffs recommendation is that construction not be allowed to proceed until a PUD District has been established for the Mississippi Shores project in conjunction with the current improvement project providing for cross access, maintenance and design standards for the frontage road area. City staff responds that until the PUD District is established, the proposed site and building plans do not meet setback and parking requirements of the Zoning Ordinance. An application has been submitted to establish the PUD District, but it is incomplete as not all of the effected property owners have signed onto the request. Mr. Fields suggested that the City could proceed with only a PUD District for the subject site and • Godfathers on the east side of the subdivision. This action would be inconsistent with the City Council's direction and understanding of the improvement project and City staff would not recommend this approach for reasons previously numerated. The Planning Commission's discussion focused on concerns about the circulation of the drive through on the north and west side of the building. City staff noted that a condition of approval is that the drive through be moved as far west as possible and some of the traffic control devices that will be required. Mr. Fields said that they have revised the building plans to provide greater visibility at the northwest corner of the building and to relocate the drive through window as suggested. The Planning Commission also stated that the exterior of the building must be revised as recommended by City staff to be more consistent with the character of the buildings to the east within the Waterfront development. The PUD District design guidelines submitted for the Mississippi Shores area would require the same and should be applied to the proposed building. After closing the public hearing, the Planning Commission voted 7 -0 to recommend approval of the conditional use permit and site /building plans for Otsego Tire and Auto as outlined below. The application is to be considered at the City Council meeting on 25 July 2005 at 6:30 PM. POSSIBLE ACTIONS A. Motion to approve a CUP and site /building plans for a multiple tenant retail /automotive use, subject to the following conditions: 1. No building permit shall be issued for construction of the principal building until such time as the City Council approves a joint application of the Mississippi Shores properties to rezone the five lots to PUD District allowing for shared /indirect access to a public street for the subject site. 2. In general, we agreed with Ms. Kienitz's findings and recommendation supporting '/a mile spacing of full- access intersections along 70` Street between Maciver Avenue and Kadler Avenue for the reasons enumerated in that memo. However, the proposed access locations shown on the exhibits attached to that 3/03/05 memo failed to provide the desired 1 /4 mile spacing and displayed a lack of coordination between the two (2) cities. Furthermore, the Wright County Highway Department is now advocating V2 mile minimum spacing between full- access intersections along their functionally classified arterial roadways (70 Street is proposed to become the realigned CSAH # 37) per their newly updated access spacing guidelines and the recently completed Northeast Wright County Traffic Study. Therefore, staffs members from both cities have held several meetings in the past month to jointly develop a unified 70` Street Access Location Plan (attached as Concept Plan Option 1A) for each City to adopt and forward to Wright County for review and approval. With the exception of CSAH #19 (La Beaux Avenue), the other major area streets of Kadler Avenue, Maciver Avenue and 70 Street are under the jurisdiction of Albertville and /or Otsego. And, most likely, each of these streets will initially be constructed as 2 -way, 2 lane paved roadways as development commences in this area. As such, the proposed intersections shown on the attached Option 1A Concept Plan will initially be full - access intersections. However, each of these four (4) major area streets (Kadler, LaBeaux, Maciver and 70 is ultimately expected to become a 4 -lane, divided roadway with auxiliary right and left turn lanes provided at intersections along it. However, due to planned development, existing accesses and wetland locations, 9 potential accesses have been identified along the two -mile segment of 70 Street between Kadler Avenue and MacIver Avenue (see Figure 1). It is desired to determine the appropriate number and location of accesses through this area while balancing the access needs of the cities with the necessity to plan a safe and efficient roadway system that best adheres to the goals of the Northeast Wright County Transportation Plan. 70 Street and CR -19 • Based on the planned and existing development reviewed ini this study, at full build -out of the area it is estimated that 70' Street will have an ADT of 15,000 east of CR -19 and 15,000 to 20,000 west of CR -19. • When the regional connections specified in the Northeast Wright County Transportation Plan are constructed, the ADT on 70 Street will increase and the ADT on CR -19 will decrease slightly. • For the following three reasons, 70 Street through this area could function with '/o mile intersection spacing: > The proposed urban nature of the immediate area. ➢ The lack of continuity of 70 Street to the west. > The connections of MacIver Avenue to the CSAH -37 ramps and the proposed Naber Avenue interchange would distribute a portion of the traffic from 70 Street prior to it reaching CR -19. • Parallel collector routes and internal connections are important to ensure that internal trips can circulate within the developments without the need to use 70 Street and CR -19. Examples of this are 67 Street and 68 Street in Albertville west of CR -19. Figure 2 highlights the developable land remaining in this area based on wetland locations and known right -of- way. The total area of developable land in this quadrant is approximately 171 acres. Figure 1 shows some of the proposed roadway network and parcel concepts for the area. Based on current concepts proposed, there is potential that all of this land would be developed for commercial land uses if approved by the City of Albertville. If such commercial land uses were approved, a connection between the commercial properties and the Phase I Outlet Mall property is desirable. The impacts of the provision of a public roadway between the Phase I Outlet Mali property and the property to the immediate west — ultimately connecting to 70 Street — are listed below: • Without a new public road connection to 70 Street from the Outlet Mall, dual purpose shopping trips between the new commercial area and the Outlet Mall will have to use the CR 19 and Outlet Mall intersection. Additional trip making at this intersection is undesirable. • Based on the existing Outlet Mall traffic volumes and general internal capture rates for retail property, approximately 3,000 trips per day would utilize this facility — 2,000 of which would be trips traveling between the new commercial development and the Outlet Mall. This translates to 2,000 less trips per day circulating on CR -19, providing relief to the CR -19 intersection with the Outlet Mall access. • Delay experienced by Outlet Mall customers would decrease with the additional access allowing traffic from the north and east to bypass the CR -19 access and traffic originating from or destined to the new commercial properties to also bypass the CR -19 access. • Providing an additional access and such a connection to 70 Street is consistent with the circulation goals of the NE Wright County Transportation Plan. Recommendations • The City of Otsego proceed with plans to extend 73 Street or a similar roadway from CR -19 to Kadler Avenue north of 70 Street. • The attached mark -up sketch (Figure 3) shows the 7 recommended access locations on 70 Street between Kadler Avenue and MacIver Avenue. • If access number 5 were moved east approximately 1,000 feet from CR -19 it could function as a full access intersection. It is currently proposed too close to CR -19 to fit the necessary turn lanes and tapers and too close rovide efficient traffic signal operation. In its current location it could function as a right -in/ri t -out. This matter was previously before you on March 28, 2005 when officials from MNDOT presented information related to installing an antenna and related equipment on top of an Otsego water tower in order to study and monitor traffic patterns. This Agreement is different from the Agreement between the City of Otsego and CITESCAPE and is similar to other antenna agreements between the State and other Minnesota cities. One significant difference is related to damages and costs. State statutes as well as the State Constitution prohibit the State from agreeing to unknown costs (they must be appropriated for what is allotted and available for expenditure per the Department of Finance). Therefore, the scenarios addressed by Paragraph 21 of the Agreement limits costs to be paid by the State to $3,000.00. Additionally, state law requires that will receive services payments before of $250.00 paying for them. As such, Paragraph states that there for the electrical fee (to be paid by the State after 6 months and upon completion of the one -year initial term). Although we do not recommend this form of contract between the City and commercial entities (such as the previous CITESCAPE agreement), approval of this contract may be reasonable because the City will be entering into an agreement with a self - regulated • government entity and the activities subject to the Agreement are for governmental purposes as opposed to commercial ones. r I have spoken with Mark Nelson of MNDOT and it is my understanding that he and other representatives from that agency will be present at the Monday, July 25` City Council meeting. This Site Agreement ( "Agreement ") is made as of this day of 2005, by and between City of Otsego, a Minnesota municipal corporation, ( "LICENSOR "), and the STATE OF MINNESOTA, Department of Administration, hereinafter referred to as LICENSEE, acting for the benefit of Department of Transportation for the leasing of certain property interests: 1. PROPERTY. The property interests hereby leased (collectively, the "Premises ") and granted by LICENSOR include the following: Otsego Water Tower Site: Real property described in Exhibit "A ", a non- exclusive easement across LICENSOR's property (hereinafter defined) for access in or upon the LICENSOR's real property ( "LICENSOR's Property"). LICENSOR's property is legally described and Leased Premises are shown in relationship to LICENSOR's property in Exhibit "A" attached hereto, and the locations of the equipment and antennas on the Structure are depicted in Exhibit "B" attached hereto. 2. TERM. The initial term of this agreement is one (1) year commencing on 2005 and shall terminate on , 2006. 3. OPTION TO RENEW. 3.1 LICENSOR grants and LICENSEE accepts the right to four (4) options to renew this Agreement for a period of one (1) vear each at the same terms, conditions, and rent as this Agreement, unless LICENSOR delivers to - LICENSEE written notice of non - renewal to LICENSEE no later than Thirty (30) days prior to the expiration of the Initial Term or applicable Option Period. 3.2 To exercise the above noted option, LICENSEE must indicate in writing its intent to exercise said options Thirty (30) days prior to the expiration date of the Initial Term of applicable Option Period. 4. RENT. LICENSOR and LICENSEE hereby agree that no rent shall be paid by LICENSEE for the use of the Premises. 1 2 4.1 One -time Electrical Fee. LICENSOR and LICENSEE hereby agree that two non - refundable electrical fee charges shall be paid to LICENSOR as follows: Two- hundred and fifty dollars ($250.00) shall be paid to LICENSOR on , 2006 or within ten (10) days after the sixth month of the initial Term. Two - hundred and fifty dollars ($250.00) shall be paid to LICENSOR on , 2006 or within ten (10) days after the conclusion of the initial Term. 5. USE. LICENSEE may use the Leased Premises for the purpose of installing, removing, replacing, maintaining, modifying, altering and operating a communications facility. The manner in which the Communications Facility may be attached to the Leased Premises shall be documented in Exhibits A -B and any subsequent documents as needed, and is subject to the prior approval by LICENSOR. Any proposed modifications or alterations to the LICENSOR's structure that may affect its structural integrity shall be included in the documentation provided by the LICENSEE and shall include plans and drawings signed by a professional structural engineer licensed in the State of Minnesota. LICENSOR shall provide LICENSEE with access as set forth in Exhibit C (Site Access Procedures) to this Agreement. LICENSEE will pay all personal property taxes (if any) assessed against its Communications Facility. LICENSEE will not allow any mechanics' or materialmens' liens to be placed on the Leased Premises as a result of its work on the Leased Premises. 6. DUE DILIGENCE. LICENSEE, its agents and contractors, are hereby granted the right, at its sole cost and expense, to enter upon the LICENSOR's Property and conduct such studies, as LICENSEE deems necessary to determine the Leased Premises' suitability for the Communications Facility. These studies may include surveys, soil tests, environmental evaluations, radio wave propagation measurements, field strength tests and such other analyses and studies, as LICENSEE deems necessary or desirable. - 7. REMOVAL OF COMMUNICATIONS FACILITY. All personal property, trade fixtures, and improvements installed by LICENSEE shall be removed, at no cost to LICENSOR, by LICENSEE upon the termination of this Agreement. 8. INSURANCE 8.1 Property Damage. It shall be the duty of LICENSOR and LICENSEE to maintain insurance or self- insurance on their own property, both real and personal. Notwithstanding anything apparently to the contrary in this License Agreement, LICENSOR and LICENSEE hereby release one another and their respective partners, officers, employees and property manager from any and all liability or responsibility to the other or anyone claiming through or under them by way of subrogation or otherwise for loss or damage, even if such Toss or damage shall have been caused by the fault or negligence of the other party, or anyone for whom such party may be responsible. 8.2 Liability. LICENSOR and LICENSEE agree that each party will be responsible for its own acts and the results thereof to the extent authorized by law and shall not be responsible for the acts of any others and the results thereof. LICENSEE'S and LICENSOR'S liability shall be governed by the provisions of the Minnesota Tort Claims Act, Minnesota Statutes, Section 3.736, and other applicable law. 9. CONDITION OF PROPERTY. LICENSOR represents that LICENSOR's Property is in as -is condition. If, in the LICENSOR's judgment, the LICENSOR's Property or Structure becomes unusable for its intended purpose of potable water storage due to condition or other factors, the LICENSOR retains the right to cancel the contract with One Hundred Twenty (120) Days written notice to the LICENSEE, notwithstanding any provisions herein to the contrary. 10. TERMINATION. This Agreement may be terminated by LICENSEE at any time for any reason with thirty (30) days written notice to LICENSOR. 11. HAZARDOUS SUBSTANCES. LICENSOR represents that LICENSOR has no knowledge of any substance, chemical, or waste on LICENSOR's Property that is identified as hazardous, toxic or dangerous in any applicable federal, state or local law or regulation. LICENSOR shall hold LICENSEE harmless from and indemnify LICENSEE against any damage, Toss, expense, response costs, or liability, including consultant fees and attorneys' fees resulting from the presence of hazardous substances on, under or around LICENSOR's Property or resulting from hazardous substances being generated, stored, disposed of, or transported to, on, under, or around LICENSOR's Property as long as the hazardous substances were not generated, stored, disposed of, or transported by LICENSEE or its employees, agents or contractors. 12. CASUALTY. If any portion of LICENSOR's Property or the Communications Facility is damaged by any casualty and such damage adversely affects LICENSEE's use of the Leased Premises, this Agreement shall terminate as of the date of the casualty if LICENSEE gives written notice of the same within thirty (30) days after LICENSEE receives notice of such casualty. 13. QUIET ENJOYMENT. LICENSEE, upon performance of its obligations hereunder, shall peaceably and quietly have, hold and enjoy the Leased Premises. LICENSOR shall not cause or permit any use of LICENSOR's property that interferes with or impairs (a) the integrity of the Communications Facility and /or the Structure to which it is attached, or (b) the quality of the communication services being rendered by LICENSEE from the Leased Premises. LICENSEE shall not cause or permit any use of LICENSOR's Property 3 4 that interferes with or impairs (a) the integrity of the LICENSOR's Property and /or the Structure to which it is attached, or (b) the use of the Structure for its intended purpose of potable water storage. 14. DEFAULT. Except as expressly limited hereby, LICENSOR and LICENSEE shall each have such remedies for the default of the other party hereto as may be provided at law or equity following written notice of such default and failure to cure the same within thirty (30) days. 15. INTERFERENCE. LICENSEE's equipment shall be installed and operated in a manner, which does not cause interference to existing equipment. Should any such interference occur, LICENSEE shall diligently pursue a cure to remove or satisfactorily attenuate such interference. If such interference to the existing equipment cannot be cured or satisfactorily attenuated, LICENSEE agrees to immediately stop using its equipment if so demanded in writing by LICENSOR. LICENSOR hereby covenants to use reasonable effort to afford LICENSEE similar protection from interference, which may be caused by the operations of subsequent additional users of LICENSOR's Property. 16. MISCELLANEOUS. A. This Agreement supersedes all prior discussions and negotiations and contains all agreements and understandings between LICENSOR and LICENSEE. This Agreement may only be amended in writing signed by all parties. Exhibits referenced herein are incorporated into this Agreement by reference. B. This Agreement may be signed in counterparts by the parties hereto. C. The LICENSEE shall comply with all federal, state, and local laws, ordinances, rules, and regulations otherwise governing the placement, operation, or maintenance of its equipment. D. " The terms and conditions of this Agreement shall run with the land and shall extend to and bind the heirs, personal representatives, successors and assigns of LICENSEE; provided, however, that LICENSEE may assign this Agreement at any time with prior written approval by LICENSOR which approval shall not be unreasonably denied. Any assignee of this Agreement shall be fully responsible for any and all responsibilities and obligations provided herein to the LICENSEE. LICENSEE may assign this Agreement to its affiliates without the prior written approval of LICENSOR. As used herein, the term "affiliates" shall mean an entity that controls, is controlled by or is under common control with LICENSEE. If this Agreement is assigned by LICENSEE to a nongovernmental unit, approval by LICENSOR may be denied unless satisfactory compensation is provided. E. LICENSEE represents that LICENSEE has not been represented by a real estate broker or other listing agent in connection with this Agreement in this transaction for purposes of commission, fee or other payment to such broker or any other leasing agent claiming to have represented LICENSEE. If LICENSOR is represented by any broker or listing agent, LICENSOR is responsible for all commission, fee or other payment to such agent. 17. MAINTENANCE, IMPROVEMENT EXPENSES. After initial installation, LICENSEE shall obtain written approval prior to undertaking any modification of its communications facility, which approval shall not be unreasonably denied. All modifications to the Leased Premises and all improvements made for LICENSEE'S benefit shall be at LICENSEE'S expense and such improvements, including the Communications Facility and equipment, shall be maintained in a good state of repair at least equal to the standard of maintenance of the surrounding LICENSOR's Property on or adjacent to the Leased Premises and shall be secured by LICENSEE. LICENSEE'S antennas shall at all times be painted, at LICENSEE'S expense, the same color as the Structure. In the event LICENSOR's reasonable maintenance of LICENSOR's Property affects areas 5 6 involving the Leased Premises, LICENSEE agrees to protect its equipment from such repairs at LICENSEE's sole cost and expense. 18. ARBITRATION. Any claim, controversy or dispute arising out of this Agreement shall be settled by arbitration in accordance with the applicable rules of the American Arbitration Association, and judgment upon the award rendered by the arbitrator may be entered in any court having jurisdiction thereof. The arbitration shall be conducted in the county where the property is located. There shall be no discovery other than the exchange of information provided to the arbitrator by the parties. The arbitrator shall have the authority only to award compensatory damages and shall not have authority to award punitive damages or other non - compensatory damages; the parties hereby waive all rights to and claims for monetary awards other than compensatory damages. 19. AUDIT Pursuant to Minnesota Statutes, Section 16C.05, Subdivision 5, the books, records, documents and accounting procedures and practices of LICENSOR relevant to this Agreement shall be subject to examination by the State and /or Legislative Auditor, as appropriate, for a minimum of six (6) years. 21. CITY EXPENSES • 21.1 LICENSEE will pay all reasonable professional fees incurred by the City as a result of LICENSOR's efforts to draft and enforce the terms of this Agreement. Said fees include attomey's fees, engineer's fees, planner's fees, and any other professional fees incurred by the LICENSOR in attempting to enforce the terms of this Agreement. Said fees shall not exceed $3,000.00. 21.2 In the event LICENSEE abandons the Leased Premises, the LICENSOR's costs and expenses related to attomey's fees, professional review, drafting of this Agreement, preparation of any feasibility report, plans and specifications, and any other expenses undertaken in reliance upon LICENSES's various assertions shall be paid by LICENSEE within thirty (30) days after receipt of a bill for such costs from LICENSOR. Said fees and costs related to LICENSEE'S abandonment shall not exceed $3,000.00. 21.3 In addition, in the event LICENSEE abandons the Premises, in whole or in part, for more than six (6) months, LICENSEE agrees to pay all costs the LICENSOR may incur in taking whatever action is reasonably necessary to remove and store any and all equipment owned by LICENSEE and to restore the Premises to a condition similar to or better than it was prior to the commencement of this Agreement. If the testing or maintenance requires that a representative of People's or the City be present at such times that they would not normally be there, and the City incurs additional cost or billings due to the need for a representative of the City's presence, LICENSEE shall reimburse the City for any such additional costs within thirty (30) days receipt of notice of such charges. In the event that LICENSEE requires immediate access to the Site due to an emergency situation they shall contact the City, and the City will use all its best efforts to provide access within 24 hours of the request, pursuant to the terms and conditions set forth above. Statement of Project Tasks and Scope Essentially, the proposed scope of work includes the preparation of a master plan and design of the public works building, outlined as follows: Phase 1: Review of possible sites and related site selection services Review of equipment, staff needs and related data for the development of a program Preparation of site / building layout options for public works purposes (several options) Preparation of cost estimates for the options • . Preparation of project budget including construction, fees, furnishings and equipment Meet with staff to develop the preferred option Prepare schematic 3D color models of preferred scheme • Present and discuss project at council workshop Phase 2:. Development of the design . Full engineering services (landscape, civil, mechanical, electrical and structural) Preparation of construction documents Interior design services Full bidding services • Assistance with contracts, ads for bid, contractor selection Construction administration services . • 1 . The size / scope of the project, budget, phasing and the overall appearance / materials will be determined during our Phase 1 services. When the full scope is determined, we can prepare a formal•AIA type contract (or the contract of choice by the City) and outline the contract requirements acceptable to the City to complete all tasks noted above and necessary to complete the project. Proposed Fee For the first phase of services, we propose to work for an hourly rate of $75.00 / hour, with the total cost not to exceed $9,200.00. If we proceed to the second phase of the project, this amount will be absorbed into our overall fee. When the overall scope of the project is determined within phase 1, I propose we then establish our overall fee. I will assure you that our fee for full services will be competitive. This will likely be approximately 8% of the construction cost. We can arrange an hourly not -to- exceed contract or a fixed fee, at your option . In addition to the fee, we will bill the City for expenses that include mileage, deliveries, plots and printing of bid sets at our direct cost. Telephone, photo materials, computers, tools and related overhead costs are a part of the fee. Not included in our services are the following, as we normally do not provide these items. This wall is approximately 30 feet long and we would only need to cover about 10 feet high with top and bottom of wall open. Exact measurements would be needed before cost estimates. I know a building contractor that could figure out and estimate of cost, if needed. Included are pictures of smoking shelters but, imagine one wall of shelter without roof. A wall could be built out of a wood frame with plexiglass between the frames. This wall would be permanent and not obstruct from the view of the park. Heavier plexiglass should be used for endurance and vandalism problems.
