The legal description of the property is Lot 1, Block 1 of the Otsego Waterfront 3rd Addition. 2. The property lies within the Sanitary Sewer Service District and is guided for commercial land uses by the Otsego Comprehensive Plan, as amended. 3. The property is zoned PUD, Planned Unit Development District as approved on April 8, 2002. The PUD District is subject to the uses and performance standards allowed in the B-3 District, except as expressly modified. The PUD District is further subject to the PUD Development Plan and PUD Development Standards incorporated as part of said District. 4. The Planning Commission and City Council must take into consideration the possible effects of the PUD District and PUD Development Plan with their judgment based upon (but not limited to) the criteria outlined in Section 20-3-2.F of the Zoning Ordinance: A. The proposed action=s consistency with the specific policies and provisions of the official City Comprehensive Plan. Finding: The subject site is guided for commercial uses as part of the City's primary retail and service area at CSAH 39 and CSAH 42. The addition of a professional office building at this location is consistent with the range of uses anticipated by the Comprehensive Plan and provides for diversification of the uses within the Waterfront West development. B. The proposed use=s compatibility with present and future land uses of the area. Finding. The subject site is surrounded by commercial uses to the north, east, south and west. The only potential compatibility issue is with the existing single family residential neighborhood to the northwest of the subject site. However, the character of an office use combined with site design elements, serves to mitigate any potential impacts. C. The proposed use=s conformity with all performance standards contained in the Zoning Ordinance (i.e., parking, loading, noise, etc.). Finding: The proposed use will conform with the requirements of the Zoning Ordinance and PUD District. D. The proposed use=s effect upon the area in which it is proposed. Finding: The proposed use will have a positive effect in continuing buildout of the Waterfront West development and adding to the range of services available in the area. E. The proposed use=s impact upon property values of the area in which it is proposed. Finding: Although no study has been completed, the proposed use is not anticipated to negatively impact area property values. F. Traffic generation by the proposed use in relation to the capabilities of streets serving the property. Finding: The proposed use will generate traffic within the capacities of streets serving the property. G. The proposed use=s impact upon existing public services and facilities including parks, schools, streets, and utilities and its potential to overburden the City=s service capacity. Finding: The proposed use is not anticipated to have a negative impact to the City=s service capacity. 5. The planning report dated 23 February 2004 prepared by the City Planner, Northwest Associated Consultants, Inc., is incorporated herein. 6. The Otsego Planning Commission conducted a public hearing at their regular meeting on 1 March 2004 to consider the application, preceded by published and mailed notice. Upon review of the application and evidence received, the Otsego Planning Commission closed the public hearing and recommended by a 7-0 vote that the City Council approve the request based on the aforementioned findings. The typical section shall be 2 %2" of bituminous wear over 4" of class 5 aggregate (100% crushed). 2. It appears that two to three parking spaces will be lost in the northwest corner of the parking lot after properly depicting the bituminous trail connection. 3. The west curb shall be designed such that the drainage from CSAH 42 will sheet off of the road, across the boulevard and bituminous path at a grade of 2%, and then from the edge of the bituminous path to the parking lot curb at a grade of 2% - 10%. 4. Existing utilities shall be shown on the Utility and Paving Plan. 5. A hydrant is required off of the 6" water stub from Quaday Avenue NE. THE PARTIES AGREE AS FOLLOWS: L DUTIES OF THE CITY. A. DESIGNATION. The City designates Mn/DOT to act as its agent to accept and disburse federal funds made available for the Project(s). B. STAFFING. 1. The City will designate a publicly employed registered engineer, ("Project Engineer"), to be in responsible charge of the Project(s) and to supervise and direct the work to be performed under any, construction contract let for the Project(s). If City elects to use a private consultant for engineering services, the City will provide a qualified, full-time public employee of the City, to be in responsible charge of the Project(s). The City will solicit bids after obtaining written notification from Mn/DOT that the Federal Highway Administration ("FHWA") has authorized the Project(s). Any Project(s) advertised prior to authorization will not be eligible for federal reimbursement. 2. The City will prepare the Proposal for Highway Construction for the construction contract, which will include all of the federal -aid provisions supplied by Mn/DOT. 3. The City will prepare and publish the bid solicitation for the Project(s) as required by state and federal laws. The City will include in the solicitation the required language for federal -aid contracts as supplied by Mn/DOT. The solicitation will state where the proposals, plans, and specifications are available for the inspection of prospective bidders. The solicitation will state where the City will receive the sealed bids. 4. The City may not include other work in the contract for the authorized Project(s) without obtaining prior notification from Mn/DOT that such work is allowed by FHWA. Failure to obtain such notification may result in the loss of some or all of the federal funds for the Project(s). 5. The City will prepare and sell the plan and proposal packages and prepare and distribute any addendums, if needed. 6. The City will receive, open, and evaluate bids. The plans, special provisions, and specifications are incorporated into this agreement by reference as though fully set forth herein. 3. The City will furnish the personnel, services, supplies, and equipment necessary to properly supervise, inspect, and document the work for the Project(s). The services of the City to be performed pursuant to this agreement may not be assigned, sublet, or transferred unless the City is notified in writing by Mn/DOT that such action is permitted under 23 CFR 1.33 and 23 CFR 635.105 and state law. The City will prepare reports, keep records, and perform work so as to enable Mn/DOT to collect the federal aid sought by the City. Required reports are listed in the Mn/DOT State Aid Manual, Delegated Contract Process Checklist, available from Mn/DOT's authorized representative. The City will retain all records and reports in accordance with Mn/DOT's record retention schedule for federal aid projects. 9. Upon completion of the Project(s), the Project Engineer will determine whether the work will be accepted. F. PAYMENTS. 1. The entire cost of the Project(s) is to be paid from federal funds made available by the FHWA and by other funds provided by the City. The City will pay any part of the cost or expense of the Project(s) that is not paid by federal funds. 2. The City will prepare partial estimates in accordance with the terms of the construction contract for the Project(s). The Project Engineer will certify the amount of each partial estimate. Following certification of the partial estimate, the City will make partial payments to the Contractor in accordance with the terms of the construction contract for the Project(s). 3. Following certification of the partial estimate, the City may request reimbursement for costs eligible for federal funds. The City's request will be made to Mn/DOT and will include a copy of the certified partial estimate. 4. Upon completion of the Project(s), the City will prepare a final estimate in accordance with the terms of the construction contract for the Project(s). The Project Engineer will certify the final estimate. Following certification of the final estimate, the City will make the final payment to the Contractor in accordance with the terms of the construction contract for the Project(s). 5. Following certification, by the Project Engineer, of the final estimate, the City may request reimbursement for costs eligible for federal funds. G. LIMITATIONS. 1. The City must comply with all applicable Federal, State, and local laws, ordinances, and regulations. 2. Nondiscrimination. It is the policy of the Federal Highway Administration and the State of Minnesota that no person in the United States will, on the grounds of race, color, or national origin, be excluded from participation in, be denied the benefits of, or be subjected to discrimination under any program or activity receiving Federal financial assistance (42 U.S.C. 2000d). Through expansion of the mandate for nondiscrimination in Title VI and through parallel legislation, the prescribed bases of discrimination include race, color, sex, national origin, age, and disability. In addition, the Title VI program has been extended to cover all programs, activities and services of an entity receiving Federal financial assistance, whether such programs and activities are Federally assisted or not. Even in the absence of prior discriminatory practice or usage, a recipient in administering a program or activity to which this part applies, is expected to take affirmative action to assure that no person is excluded from participation in, or is denied the benefits of, the program or activity on the grounds of race, color, national origin, sex, age, or disability. It is the responsibility of the City to carry out the above requirements. 3. Workers' Compensation. Any and all employees of the City or other persons while engaged in the performance of any work or services required or permitted by the City under this agreement will not be considered employees of Mn/DOT, and any and all claims that may arise under the Workers' Compensation Act of Minnesota on behalf of said employees, or other persons while so engaged, will in no way be the obligation or responsibility of Mn/DOT. The City will require proof of Workers' Compensation Insurance from any contractor and sub- contractor. 4. Utilities. The City will treat all public, private or cooperatively owned utility facilities which directly or indirectly serve the public and which occupy highway rights of way in conformance with 23 CFR 645 "Utilities" which is incorporated herein by reference. H. AUDIT. 1. The City will comply with the Single Audit Act of 1984 and Office of Management and Budget (OMB) circular A-133 including amendments and successors thereto, which are incorporated herein by reference. 2. The City assumes full responsibility for the operation and maintenance of any facility constructed or improved under this Agreement. J. CLAIMS. The City will pay any and all lawful claims arising out of or incidental to the performance of the Project(s) work. The City acknowledges that Mn/DOT is acting only as the City's agent for acceptance and disbursement of federal funds, and not as a principal or co -principal with respect to the Project(s). In all events, the City will indemnify Mn/DOT and hold Mn/DOT harmless from any claims arising out of the Project(s). Il. DUTIES OF Mn/DOT. A. ACCEPTANCE. Mn/DOT accepts designation as Agent of the City for the receipt and disbursement of federal funds and will act in accordance herewith. B. PROJECT ACTIVITIES. 1. Mn/DOT will make the necessary requests to the FHWA for authorization to use federal funds for the Project(s), and for reimbursement of eligible costs pursuant to the terms of this agreement. 2. Mn/DOT will provide to the City copies of the required Federal -aid clauses to be included in the bid solicitation and will provide the required Federal -aid provisions to be included in the bid proposal. 3. Mn/DOT will review and certify the DBE participation and notify the City when certification is complete. 4. Mn/DOT will provide the required labor postings. C. PAYMENTS. 1. Mn/DOT will receive the federal funds to be paid by the FHWA for the Project(s), pursuant to Minnesota Statutes § 161.36, Subdivision 2. 2. Mn/DOT will reimburse the City, from said federal funds made available to each Project, for each partial payment request, subject to the availability and limits of those funds. 3. Upon completion of the Project(s), Mn/DOT will perform a final inspection and verify the federal and state eligibility of all the payment requests. In the event Mn/DOT does not obtain funding from the FHWA or other funding source, or funding cannot be continued at a sufficient level to allow for the processing of the federal aid reimbursement requests, the City may continue the work with local funds only, until such time as Mn/DOT is able to process the federal aid reimbursement requests. D. AUTHORITY. Mn/DOT may withhold federal funds, where Mn/DOT or the FHWA determines that the Project(s) was not completed in compliance with federal requirements. E. INSPECTION. Mn/DOT, the FHWA, or duly authorized representatives of the state and federal government will have the right to audit, evaluate and monitor the work performed under this agreement. The City will make available all books, records, and documents pertaining to the work pursuant to this agreement, for a minimum of seven years following the closing of the construction contract. IV. TORT LIABILITY. Each party is responsible for its own acts and omissions and the results thereof to the extent authorized by law and will not be responsible for the acts and omissions of any others and the results thereof. The Minnesota Tort Claims Act, Minnesota Statutes Section 3.736, governs Mn/DOT liability. V. ASSIGNMENT. Neither party will assign or transfer any rights or obligations under this agreement without prior written approval of the other party. VI. AMENDMENTS. Any amendments/supplements to this Agreement must be in writing and be executed by the same parties who executed the original agreement, or their successors in office. VII. AGREEMENT EFFECTIVE DATE. This agreement is be effective upon execution by the City and by appropriate State officials, pursuant to Minnesota Statutes Section 16C.05. VIII. TERMINATION. This agreement may be terminated by the City or Mn/DOT at any time, with or without cause, upon ninety (90) days written notice to the other party. Such termination will not remove any unfulfilled financial obligations of the City as set forth in this Agreement. In the event of such a termination the City will be entitled to reimbursement for Mn/DOT-approved federally eligible expenses incurred for work satisfactorily performed on the Project to the date of termination subject to the terms of this agreement. Location. In order to serve the community in a cost effective manner, a central location in the City is preferred. Because a public works facility does not involve personal interaction with the public, the facility should be located in an area characterized by industrial/warehousing-type uses. This type of a locale would accommodate the need for large truck access, operation, storage and repair. If such a facility were to be located in an area planned for future industrial use, it could be used as an example of preferred development quality. Site Characteristics. The site should be large enough for both present and long-term community needs. Ideally, the facility would be located near a major arterial street or at the intersection of two arterial streets (to allow convenient east/west and north/south travel movements). For internal circulation, at least two entrances should be provided. The site should also have subsoil and topography conditions which contribute to low development costs. The facility should also provide adequate screening or outdoor storage areas via landscaping, fencing, berming or a combination thereof. Site Selection Criteria. Determining the location of a public works facility in Otsego should be approached in an organized fashion and founded upon an objective set of criteria. Site Preparation Site Alternatives. Based on the preceding information, six areas within the City have been earmarked as potentially suitable locations for a public works facility (see Exhibits). The following text will provide a brief summary of each particular search area and a listing of site advantages and disadvantages. Search Area A Location: North of County Road 39 and east of Nashua Avenue Size: 8 acres Owner (s): 1. Eugene Kreuser (4 acres) 2. City of Otsego (2 acres) 3. Debra Vigennt (2 acres) Site Advantages: 1. A portion of the property is presently owned by the City of Otsego. 2. The site is centrally located in an east/west direction. 3. The site is afforded excellent north/south and east/west access via County Road 19 and Nashua Avenue. 4. The City's existing public works facility is located on the property. 5. The area is not necessarily conducive to residential development (as presently guided by the Comprehensive Plan). 6. The site is relatively flat (conducive to public works facility activities) Site Disadvantages: 1. The site is located in the northern portion of the City. Thus, service delivery distances to the southeast and southwest areas of the community would be significant. 2. At 8 acres in size, the site is significantly smaller than that desired by the City. 3. The site is located within the Wild and Scenic River District and would not be allowed under current regulations. 4. Construction of a new public works facility would require the removal/relocation of the historic schoolhouse and original Town Hall. 5. The narrow configuration of the site may present site plan design difficulties. 6. The displacement and relocation of two residences would be required. Search Area B Location: Nashua Avenue (West of City Hall) Size: 40 acres Owners (s): 1. Otsego Economic Development Authority Site Advantages. - 1 - dvantages: 1. The site is owned by the City of Otsego 2. The site is centrally located in the City and does not discriminate from any area of the community in terms of travel distance. 3. The adjacency of the site to City Hall may result in some cost savings through the avoidance of duplicate services. 4. At 40 acres in size, the site meets the City's land area needs. 5. Site topography is generally conducive to the construction of a new public works facility. 0 6. The site is afforded excellent north/south and east/west access via Nashua Avenue and 85Th Street. 7. No displacement/relocation of residences would be required. Site Disadvantages: Construction of a public works facility on the property would displace the portions of existing Otsego Prairie Park designated as natural open space and limit potential future expansion of the park. The public works facility would also bisect land the balance of the park from additional park land on the west side of Otsego Creek within the Hidden Creek Trails subdivision. 2. The intermixing of City administrative, recreation and public works functions on one site has inherent compatibility conflicts due to public activities at City Hall and Prairie Park. 3. The north -central area of the site contains a wetland of significant size. Search Area C: Location: North of 83 Id Street and west of Nashua Avenue Size: 108 acres Owner (s): 1. James DeMars (54 acres) 2. Jeunette Carron (54 acres) Site Advantages: 1. The site is centrally located in the City and does not discriminate from any area of the community in terms of travel distance. 2. The site is afforded excellent north/south and east/west access via Nashua Avenue and 85th Street, and 83 Id Street. 3. Ample land area exists to accommodate the proposed facilities either through acquisition of the entire property or only a portion of the parcels. 40 Site Disadvantages: 1. The southeast area of the site contains a wetland and slopes in excess of 12 percent, generally not conducive to the proposed activity. 2. The City has no ownership in the property. 3. The site is likely to be guided for low density residential use as part of the Comprehensive Plan update. 4. The displacement/relocation of two residences would be required. 5. The site is to be bisected by the planned extension of 85th Street as a scenic parkway. The proposed use may be incompatible with the desired character of uses along the proposed parkway. Search Area D: Location: North of 80th Street and west of Mason Avenue Size: 162 acres Owner (s): 1. Walter Bernig (82 acres) 2. Randal Pouliot (40 acres) 3. Jeraldine Vetsch (40 acres) Site Advantages: 1. Existing east/west access is available via 80th Street and 83rd Street. The site will be afforded excellent east/west access in the long term via the westerly extension of 85th Street. 2. North -south access is provided by MacIver Avenue (2004 construction) and Mason Avenue. 3. Each of the various parcels within the search area satisfy the City's minimum site area requirements either through acquisition of the entire parcel or a portion of one property. is 6 Site Disadvantages: A natural drainageway (and adjacent steep slopes) bisects the area thereby reducing its buildable area. 2. The City has no ownership in the property. 3. The area is likely to be guided for low density residential use by the Comprehensive Plan update. 4. All three parcels within the search area are part of active farm operations and acquisition of approximately 40 acres reduces the amount of tillable land available to the operator. 5. The search area abuts the planned extension of 85th Street as a scenic parkway. The proposed use may be incompatible with the desired character of uses along the proposed parkway. Search Area E: Location: North of 77th Street and west of Nashua Avenue Size: 157 acres Owner: 1. Floyd Goenner (157 acres) Site Advantages: 1. The site is centrally located in the City and does not discriminate from any area of the community in terms of travel distance. 2. The site is afforded excellent north/south and east/west access via Nashua Avenue and 85" Street, 83 Id Street. 3. At 157 acres in size, the site of the area exceeds the City's minimum area requirement allowing for subdivision of approximately 40 acres. Site Disadvantages: 1. The northwest area of the site is characterized by steep slopes (in excess of 12 percent) and wetlands, generally not conducive to the proposed activity. 2. The City has no ownership in the property. 0 7 I The site is likely to be guided for residential use by the Comprehensive Plan update. 4. The land is part of an active farm operation and acquisition of approximately 40 acres reduces the amount of tillable land available to the operator. 5. Access to the south and west would require travel on existing gravel streets until such time as Nashua Avenue and 85tt' Street, respectively, are extended. Search Area F: Location: South of 701h Street and east of McAllister Avenue Size: 1,098 acres Owner (s): 1. Clarence Schumacher (40 acres) 2. Chris Vivea (777 acres) 3. Donna Valerius (36 acres) 4. The site significantly exceeds the City's minimum site area requirement and thus, provides some flexibility in site selection between the various properties. 3. 701h Street is designated as a future east/west arterial street and Nasuha Avenue is planned as a future north/south arterial street through this area. As a result, the area will be highly accessible in the future. 4. An opportunity exists to set a standard for a desired level of development quality (for future industrial uses) in the area. 0 Site Disadvantages: 1. A natural drainageway bisects the property thereby reducing the potential buildable areas within the sites. 2. The City has no ownership in the property. 3. The site is located in the southern portion of the City. As a result, service delivery distances to the northern areas of the community would be significant. 4. The displacement/relocation of residences would likely be required. 5. Short term access to and from the area would require use of gravel streets until such time as 70th Street and Nashua Avenue are extended. 6. The individual parcels within the search area are part of active farm operations and acquisition of approximately 40 acres reduces the amount of tillable land available to the operator. CONCLUSION Of the search areas being considered, our opinion is that Search Area F is the best alternative for a public works site. Long term, this area is being considered for future industrial uses and will have excellent access to all areas of the City via arterial streets 701h Street and Nashua Avenue. Disadvantages with this area are limited to short term use of existing gravel streets until street improvements are undertaken.
