Enclosed please find a proposed easement agreement for the agreed upon driveway
construction on your property. The driveway construction is in exchange for execution of
the easement, which was previously mailed to you.
The Agreement sets forth the terms and conditions, as I understand them, of your oral
ageement with the City. The Agreement sets forth the obligation of both parties, your
obligation is to execute the requested easement, and the City's obligation is to construct
the driveway as described.
Please review this document, and if acceptable, sign the Agreement and the easement in
front of a notary and return both to this office or City Hall. If you have any questions or
concerns please feel free to contact me.

EASEMENT AGREEMENT BETWEEN THE CITY OF OTSEGO AND
RONALD SADOWSKI AND TRACY SADOWSKI
THIS AGREEMENT made this day of June, 2002 between the City of
Otsego ("CITY"), a municipal corporation under the laws of the State of
Minnesota and Ronald Sadowski and Tracy Sadowski, husband and wife and
Owners of the real property herein described ("OWNERS").
For good and valuable consideration as described below, OWNERS agree to
convey to the City the easement as set forth on attached Exhibit A.
CITY herein agrees to construct a driveway from Page Avenue to OWNERS
garage in conjunction with Otsego City improvement Project No. 2002-0 1. The
driveway, from curb to garage will be approximately 60 feet in length and will be
24 feet wide with a fifteen (15) foot by fifteen (15) foot hammerhead turnaround.
CITY will construct the driveway with six (6) inches of Class 5 and two and one
half (21/2) inches of bituminous. The location of the driveway and its general
configuration is set forth on the attached Exhibit B.
CITY shall allow OWNERS, and only the Owners specifically identified in this
Agreement, driveway access to Page Avenue until such time as the property is
developed and the existing house is moved or demolished. The right to access
Page Avenue does not run with the land and does pass to any third party.

Please be advised that the Planning Commission held a public hearing on 5 May 2002 to
consider the above referenced request. After hearing the application, the request was
tabled to the 17 June 2002 Planning Commission meeting to allow the applicanf to provide
additional plans. No comments were received of the public at either the 5 May 2002 or 17
June 2002 meetings.
Staff will need to work with the applicant on circulation to the loading door, a proof -of -
parking agreement, and site drainage. After closing the public hearing, the Planning
Commission voted 6-0 to recommend approval of the applications as outlined below.
These applications will be considered at the City Council meeting on 24 June 2002 at 6:30
PM.
Decision 1 -Zoning Amendment
A. Motion to approve a Zoning Map amendment rezoning that portion of PID 118-500-
154302 subject to administrative subdivision from an A-1 District to B-3 District
designation based upon a finding that the request is consistent with the
Comprehensive Plan.
B. Motion to deny the application based upon a finding that the request is inconsistent

Motion to approve site and building plans for Lefebvre's Carpet, subject to the
following conditions:
The City Engineer review the proposed administrative subdivision relative
to any impacts for the future extension of Quaday Avenue.
2. The building plans are revised to provide a loading berth with adequate
turning radius for delivery vehicles.
3. The landscape plan is to be installed prior to a certificate of occupancy being
issued or a security provided to ensure compliance.
4. The building plans are revised to provide light fixtures above each exterior
entrance. All exterior light fixtures are to have a 90 -degree horizontal cut-off
and be so directed to minimize glare to adjoining properties or public rights-
of-way.
5. Any exterior trash containers shall be fully screened from view within an
enclosure as approved by the Building Official. The trash enclosure must be
constructed using materials consistent with the proposed expansion.
6. The applicant must provide a total of 38 parking stalls. The proposed 10
stalls on the south side of the building must be moved to the north side.
7. All signs shall conform with Section 37 of the Zoning Ordinance. Any and
all existing off -premises signs advertising Lefebvre Carpet within the City of
Otsego shall be removed.
All grading, drainage and easements are subject to review and approval of the City
Engineer.

ZONING MAP AMENDMENT
APPLICATION: Request fora Zoning Map amendment rezoning a portion of PID 118-500-154302 subject

FINDINGS: Based upon review of the application, the recommendation of the Planning Commission, and
evidence received, the City Council of the City of Otsego now makes the following findings of fact:
A. The legal description of the property is attached as Exhibit A.
B. The property lies within the Sanitary Sewer Service District and is guided for commercial land uses
by the Otsego Comprehensive Plan, as amended.
C. The property is zoned A-1, Agriculture Rural Service Area; The applicant has requested that the
property be rezoned to B-3, General Business District for the purpose of attaching it to the adjacent
parcel to allow expansion of an existing building.
D. The Planning Commission and City Council must take into consideration the possible effects of the
PUD District and PUD Development Plan with their judgement based upon (but not limited to) the
criteria outlined in Section 20-3-2.F of the Zoning Ordinance:
The proposed action's consistency with the specific policies and provisions of the
Official City Comprehensive Plan.
Finding: The Lefebvre Carpet site and parcel to be attached to it are guided by the
Comprehensive Plan for commercial uses as part of the City's primary commercial
center at CSAH 39 and TH 101. Accommodating expansion of Lefebvre Carpet
would be consistent with the City's goals for the area.
2. The proposed use's compatibility with present and future land uses of the area.
Finding: The area surrounding Lefebvre Carpet is guided for commercial uses, which
the expanded showroom/Warehouse would be compatible with. Existing uses are
limited to a legal non -conforming single family dwelling to the south of the subject site
and agriculture fields to the north and east.
3. The proposed use's conformity with all performance standards contained in the
Zoning Ordinance (i.e., parking, loading, noise, etc.).

Finding: The proposed use will be required conform with all applicable standards of
the Zoning and Subdivision Ordinance, including those conditions of the original site
plan approval that have not been implemented.
4. The proposed use's effect upon the area in which it is proposed.
Finding: The rezoning will provide for expansion of an existing business in an area
guided to be the commercial focus of the City. No negative impacts are anticipated.
5. The proposed use's impact upon property values of the area in which it is proposed.
Finding: Although no study has been completed, the proposed use is not anticipated
to negatively impact area property values.
6. Traffic generation by the proposed use in relation to the capabilities of streets
serving the property.
Finding: Lefebvre Carpet has access to CSAH 42, which has adequate capacity for
the use. The site has been laid out in such a manner to allow for future access to an
extension of Quaday Avenue north from Otsego Waterfront West.
7. The proposed use's impact upon existing public services and facilities including
parks, schools, streets, and utilities and its potential to overburden the City's service
capacity.
Finding: The proposed use is not anticipated to have a negative impact to the City's
service capacity.
E. The planning reports dated 1 May 2002 and 12 June 2002 prepared by the City Planner, Northwest
Associated Consultants, Inc., is incorporated herein.
F. The letter dated 13 June 2002 prepared by the City Engineer, Hakanson Anderson Associates, Inc.,
is incorporated herein.
G. The Otsego Planning Commission conducted a public hearing at their regular meeting on 5 May 2002
to consider the application, preceded by published and mailed notice. The request was continued and

The Planning Commission held a public hearing on 3 June 2002 to consider the
rezoning and PUD Development Stage Plan/Preliminary Plat for the proposed golf
course and residential development. The public hearing was continued to 17 June
2002 to allow the City Staff to compete their review of the submitted plans.
The main issue of debate during the public hearing is the proposed connection to the
City's planned west waste water treatment plant. City Staff is strongly recommending
against such a connection due to demand within the sewer district exceeding demand,
the project's inconsistency with policies for expansion of the sewer service area and
leapfrogging of other parcels, and the political impacts to the City's present and future
waste water treatment permit applications. As with the concept plan presented in late
2001, the Planning Commission was generally in favor of the project, but opposed to a
municipal sanitary sewer connection.
The issue of connecting to the municipal system was raised by the City Council at the
time the concept plan was considered. This would have been prior to the City finalizing
its plans for the west waste water treatment plant and sanitary sewer service district. It
is now known that the proposed 600,000gpd. treatment plant will only serve
approximately 60 percent of the phase -1 area of the west sanitary sewer service
district. Staff believes that the available capacity will be used very quickly based on
concept plans that have been discussed and current economic conditions.
Comments received from the public were also generally supportive of the land use.
Residents along Kahler Avenue are opposed to the extension of 92 "d Street to the east
line of the proposed plat. This street will provide for a future connection to Kahler
Avenue at such time as the area east of the plat (currently developed with 5 -acre lots)
develops further. A connection between 92rd Street and Kahler Avenue is necessary
because wetlands prevent a connection to the east of Kahler and topography prevents
an extension to the south. Staff emphasizes that no street extension is planned, but
that the right-of-way is provided only has a consideration of future planning.
After closing the public hearing, the Planning Commission voted 6-0 to recommend
approval of the Zoning Map amendment and PUD Development Stage Plan/Preliminary
Plat in two motions. Options for the City Council to consider at their meeting on 24
June 2002 at 6:30 PM based upon the recommendations of the Planning Commission
are outlined below:
Decision I -Zoning Map Amendment
A. Motion to approve a Zoning Map amendment to rezone the subject site from A-1
District to PUD District based upon a finding that the request is consistent with the
Comprehensive Plan and Zoning Ordinance.
B. Motion to deny the application based upon a finding that the request is inconsistent
with the Comprehensive Plan.
C. Motion to table the request.
Decision 2 - PUD Development Stage Plan/Preliminary Plat
A. Motion to approve the PUD Development Stage Plan and Preliminary Plat for
Otsego Meadows Golf Club, subject to the following conditions:
1. The submitted EAW is processed in accordance with Section 38 of the Zoning
Ordinance, including adoption of findings on the need to prepare an EIS ten days
from the end of the comment period.
2. The PUD District is subject to the uses and performance standards of the R-4
District except as modified on the approved development plans.
3. The applicant dedicate a total of 40 -feet of right-of-way for Kadler Avenue as a
designated collector street. The applicant will be required at their cost to pave
Kadler Avenue from CSAH 39 to 85 �h Street, subject to approval of the City
Engineer.
4. The Preliminary Plat is revised to establish all private drives as outlots separate
from the public right-of-way. All street and access issues are subject to approval
of the City Engineer and/or Wright County.
5. Landscape Plans are to be provided for the gateways at 901h Street, 92 nd Street,
and 89th Circle, and the buffer to the east and south of the range tees.
6. Golf cart use is prohibited on public streets or trails. A trail plan for internal
circulation of golf carts is provided which also addresses cart access to Lots 3-
13 of Block 12. Crossing of public streets by golf carts is to occur only at
designated locations to be shown on the trail plan.
7. The preliminary plat is revised to provide the location of the single, two unit and
three unit townhouse dwellings in a unit and base lot configuration. All areas
beyond the dwelling shall be held in common by a homeowners association and
overlaid by drainage and utility easements.
8. The mean area of the single family lots shall be 12,000 square feet, except that
no lot shall be smaller than 11,500 square feet.
9. Side yard setbacks for single family lots within the PUD District shall be 10 -feet
for the prindpal building and 5 -feet for an attached garage from an interior lot
line. The side yard setback on a corner for single family lots within the PUD
District shall be 20 -feet, except for Lot 5 of Block 12, which shall provide a 35 -
foot setback to all street frontages.
10. Exterior elevations for the three -unit building, building material
specifications, and floorplans for the proposed townhouse units are to be
provided for approval. The detached townhomes shall provide a variety of
exterior facades, with the same facade located no closer than every third
unit lot. The detached townhomes shall also be revised such that the
garage of one unit abuts that of one adjacent unit.
The course design will require some alteration such that the tee boxes on
holes 7, 9, and 11 are at least 20 feet from a lot line.
12. Outlot D is designated as two parcels based on its division by 89th Circle.
13. The clubhouse and maintenance facilities are subject to site and building
plan review subject to submission of complete plans.
14. Illumination of the range tees and their hours of operation is subject to
review of the Planning Commission and approval of the City Council.
15. Any existing structure within the expanded right-of-way for Kadler Avenue
shall be removed.
16. Sewage treatment shall be provided via a private on-site system subject to
an agreement with the City. All utility plans are subject to review and
approval of the City Engineer.
17. All grading, drainage, utilities, and easements are subject to review and
approval of the City Engineer.
18. Comments of other City Staff.
B. Motion to deny the application based upon a finding that the request is inconsistent

APPLICATION: Request for a Zoning Map amendment from A-11, Agriculture Rural Service
District to PUD, Planned Unit Development and a PUD Development Plan/Preliminary Plat for
245 acres to allow for development of a residential golf course project entitled "Otsego
Meadows Golf Club".

FINDINGS: Based upon review of the application, the recommendation of the Planning
Commission, and evidence received, the City Council of the City of Otsego now makes the
following findings of fact
A. The legal description of the property is attached as Exhibit A.
B. The property lies within the Rural Residential Preserve and guided for rural residential
land uses by the Otsego Comprehensive Plan, as amended.
C. The property is A-1 District; The applicants' request rezoning to PUD District to allow for
development of an 18 -hole golf course and 157 residential units as part of the Otsego
Meadows Golf Club development stage plan. The development stage plan includes a
mix of commercial and residential uses, mix of residential dwelling types, flexibility on lot
area and setback requirements, and provision of sewer treatment and water facilities
necessitating consideration a PUD District.
D. The Planning Commission and City Council must take into consideration the possible
effects of the PUD District and PUD Development Plan with their judgement based upon
(but not limited to) the criteria outlined in Section 20-3-2.F of the Zoning Ordinance:
1. The proposed action's consistency with the specific policies and provisions of the
official City Comprehensive Plan.
Finding: A concept plan was approved for the project on 14 January 2002 for the
golf course facilities and 143 residential units. The concept plan was reviewed under
the policies of an Agriculture Preserve Area established prior to the recent
Comprehensive Plan update. These policies allowed higher densities such as
proposed with City approval of sewer and water facilities.
The Comprehensive Plan update now guides the property for rural residential use
within the Rural Residential Preserve. The intent of the rural residential preserve is
to allow for preservation of rural character and open space while allowing clustered
residential development. A base density of 4:40 density is allowed, although
increases may be granted as a bonus to encourage superior site design or
amenities.
The gross density of the project is 0. 6 units per acre. If the area for the golf course is
factored out, the net density is 3.7 units per acre, which is within the City t definition
of low density residential land uses despite the additional 14 units from the concept
plan stage. The proposed development is generally consistent with both the
approved concept plan and the polices under which it was evaluated. The net
density is higher than what would be allowed under the current Comprehensive Plan
in this area. However, staff believes that the applicant may be granted some
standing thr the higher density based upon the recent approval of the concept plan
without creating a precedent for future requests.
The project itself presents an opportunity to expand the City is housing stock upwards
in terms of value because if the integrated goff course as an amenity The proposal
to include detached, two -unit, and three unit buildings also expands housing choice
in terms of type. Although the City has seen a significant amount of townhouse
development in the east sanitary sewer service district, these townhouse units may
be expected to be of higher value again because of the amenity involved with the
project. These are all policies of the Comprehensive Plan.
2. The proposed use's compatibility with present and future land uses of the area.
Finding: The subject property is suffounded by rural residential uses or agriculture fields
to the east, south, and west. Uses to the north include Vintage Goff and single family
uses in the Grenins Mississippi Hills and Island View Estates. With the exception of the
detached townhouses on the east lot line, all of the residential uses are clustered within
the goff course creating separation from surrounding properties, thereby creating an
appropriate transition. Additional screening and controls on operation of the practice
range may be necessary to offset compatibility i�sues associated with that specific
element of the project.
3. The proposed use's conformity with all performance standards contained herein (i.e.,
parking, loading, noise, etc.)
Finding: The performance standards applicable to the project will be established by the
PUD Development Plan. These issues are discussed in subsequent paragraphs.
4. The proposed use's effect upon the area in which it is proposed.
Finding: The project is in an area with a level of development that already exceeds rural
characteristics. The design of the project is such so as to off -set any impacts of the
increased density and the applicant will be required to provide adequate infrastructure to
accommodate the proposed use.
5. The proposed use's impact upon property values of the area in which it is proposed.
Finding: The proposed use may not be anticipated to negatively impact area property
values, although no formal study has been completed.
6. Traffic generation of the proposed use in relation to capabilities of streets serving the
property.

39 andlor KadlerAvenue to provide sufficient capacity for the development

Circle, and the buffer to the east and south of the range tees.
6. Golf cart use is prohibited on public streets or trails. A trail plan for internal circulation of golf
carts is provided which also addresses cart access to Lots 3-13 of Block 12. Crossing of
public streets by golf carts is to occur only at designated locations to be shown on the trail
plan.
7. The preliminary plat is revised to provide the location of the single, two unit and three unit
townhouse dwellings in a unit and base lot configuration. All areas beyond the dwelling shall
be held in common by a homeowners association and overlaid by drainage and utility
easements.
8. The mean area of the single family lots shall be 12,000 square feet, except that no lot shall
be sma I ler than 11, 500 square feet.
9. Side yard setbacks for single family lots within the PUD District shall be 10 -feet for the
principal building and 5 -feet for an attached garage from an intedor lot line. The side yard
setback on a comer for single family lots within the PUD District shall be 20 -feet, except for
Lot 5 of Block 12, which shall provide a 35 -foot setback to all street frontages.
10. Exterior elevations for the three -unit building, building material specifications, and floorplans
for the proposed townhouse units are to be provided for approval. The detached townhomes
shall provide a variety of extehor facades, with the same fa�ade located no closer than every
third unit lot. The detached townhomes shall also be revised such that the garage of one
unit abuts that of one adjacent unit.
11. The course design will require some alteration such that the tee boxes on holes 7, 9, and 11
are at least 20 feet from a lot line.
12. Outlot D is designated as two parcels based on its division by 89th Circle.
13. The clubhouse and maintenance facilities are subject to site and building plan review subject
to submission of complete plans.
14. Illumination of the range tees and their hours of operation is subject to review of the Planning
Commission and approval of the City Council.
15. Any existing structure within the expanded right-of-way for Kadler Avenue shall be removed.
16. Sewage treatment shall be provided via a private on-site system subject to an agreement
with the City. Ail utility plans are subject to review and approval of the City Engineer.
17.All grading, drainage, utilities, and easements are subject to review and approval of the City
Engineer.

BACKGROUND
Mr. Douglas Cummings has submitted an application for final plat approval of the
Otsego Industrial Park 5th Addition, which is 15 -acres to be divided from property
owned by Steve and Diane Kolles. The preliminary plat for the subdivision
consisted Of six lots to the west of the existing Otsego Industrial Park fronfing on
an extension of Jensen Avenue. The final plat consists of two outlots and right-
of-way for the future extension of Jensen Avenue. The subject site was rezoned
to an 1-2 District at the time of preliminary plat approval on 28 January 2002.

ANALYSIS
The preliminary plat illustrates six lots that conform to the requirements of the 1-2
District. The proposed final plat does not include any buildable lots, but two
outlots, on the north and South sides of the Jensen Avenue right-of-way. Further,
the applicant is also not proposing construction of Jensen Avenue at this time.
The purpose of the final plat is to allow for the transfer of the subject site from the
current property owners to the applicant.
The City's concern must be that the final plat will not become a barrier to further
development of the Kolles property along 1-94, which may require extension of
Jensen Avenue. As such, we would only recommend approval of the final plat
subject to a development contract that provides for timely construction of Jensen
Avenue at the applicant's cost. This development agreement will require a
reasonable estimate of the cost of Jensen Avenue, a schedule for completion of
improvements, and provisions dealing with any default by the developer.
CONCLUSION
Subject to execution of a development agreement providing for the timely
construction of Jensen Avenue, our office recommends approval of the Otsego
Industrial Park 5th, as outlined below:
A. Motion to approve the Otsego Industrial Park 5 th Addition Final Plat,
subject to the following conditions:
The applicant is to enter into a development contract that provides
for the timely construction of Jensen Avenue and other
improvements, subject to review and approval of the City Attorney.
2. Construction plans for extension of Jensen Avenue and all
stormwater facilities within the Plat are submitted, subject to review
and approval of the City Engineer.
3. Park and trail dedication requirements in the form of a cash fee in
lieu of land equal to 10 percent of the pre -development fair market
value of the subject parcel is paid.
4. Comments of other City Staff.
B. Motion to deny the application based upon a finding that the request is
premature per Section 21-4-2.0 of the Subdivision Ordinance based upon
a lack of adequate streets.

This office serves as the City Planner for the City of Otsego.
The City has received your application for a Zoning Map amendment, preliminary plat, and
site/building review of Outlot A within The Pointe final plat. This parcel is guided by the
Comprehensive Plan for commercial uses and is currently zoned A-1, Agriculture Rural
Service District.
The City cannot accept this application. The City has established a moratorium on
residential subdivisions within the sanitary sewer service district because all available
capacity for residential uses has been allocated. This moratorium precludes application
for rezoning and preliminary plat of Outlot A for a residential use. The moratorium
exempted residential project that had been preliminary platted at the time the moratorium
was established, which included Outlots B and C of The Pointe addition. Outlot A would
also be exempt if a development request was submitted for commercial use of the parcel.
You may request the City Council to exempt Outlot A from the moratorium to allow
consideration of your proposed development. The earliest possible City Council meeting
at which a request to exempt the property may be considered is 24 June 2002. A written
request to exempt Outlot A from the moratorium must be submitted to Judy Hudson at City
Hall by 13 June 2002 in order to be placed on the agenda. If such a request is made, City
Staff will prepare a summary of capacity usage and preliminary issues associated with the
request. Any decision to exempt Outlot A from the moratorium should not be taken as an
approval of the proposed development plan.

BACKGROUND
Pulte Homes of Minnesota, Inc. submitted a request for rezoning and preliminary
plat approval to develop Outlot A of The Pointe addition with 60 townhouse units
based upon the relocation of Quaday Avenue to the west and access restrictions
from Quale Avenue to CSAH 37.
The subject parcel is guided for commercial land uses by the Comprehensive
Plan, but is zoned A-1 Agriculture Rural Service District. Consideration of the
applicant's request would require application for a Comprehensive Plan
amendment, rezoning to R-7 District, and a preliminary plat.
The City is prevented from accepting these applications by the moratorium
currently in effect prohibiting requests for residential developments within the
east sanitary sewer service district based upon allocation of all available
residential capacity. The developer has requested the City Council consider
exempting them from the moratorium to allow the applications to be processed.
It must be noted that a proposal for commercial use of the subject site would be
exempt from the moratorium.

The total number of RECs within approved residential final plats, exempt
residential preliminary plats, and existing commercial and industrial uses, the City
has allocated 1,434.2 total RECs of the total 1,440 RECs available within the
400,000gpd. waste water treatment plant. This analysis suggests that no
additional RECs are available for residential uses not exempted from the current
moratorium.
The City has submitted an application for construction of a west waste water
treatment plant for the west sanitary sewer service district. So as not to jepordize
the application, the City has not initiated an application to expand the east waste
water treatment plant beyond 400,000gpd., and does not expect to undertake
that effort until a decision is reached o the west permit. City Staffs most positive
estimate is that a decision on the west permit will be made by fall of 2002. This
would mean that the City could begin the process of expanding the east permit
with the earliest on-line date for additional capacity being fall 2004.
The Comprehensive Plan directs that a rezoning of property to allow a more
intensive land use guided by the land use plan will be considered premature
unless there is adequate sanitary sewer capacity to serve the project at full
development after reasonable capacity is reserved for institutional, commercial,
and industrial uses projected for the next five years. In that the City is already
borrowing from the reserve capacity and that no new capacity is likely to be
available within the east sanitary sewer service district for at least two years,
consideration of the developer's proposal appears premature.
CONCLUSION
The City of Otsego has allocated or has pending allocations of 1,434.2 RECs of
an available 1,440 RECs within the east sanitary sewer service district.
Allocation to residential uses may reach 1,333 RECs, which requires the City to
borrow 325 RECs against its capacity reserve for commercial and industrial uses.

Thank you for your response letter from Mr. Licht dated June 6, 2002. Per our
submittal, we request the City Council exempt Outlot A of The Pointe from the current
residential moratorium, and allow a rezoning/Comprehensive plan amendment of this
piece from commercial use to residential.
We understand the intent to zone this parcel as neighborhood/convenience commercial
was based on the original alignment and full access intersection at CSAH 37 and Quaday
Avenue to serve homebound traffic of THIOL The County/State directed re -alignment
of Quaday and restricted use (right in, -right out) of the new intersection of CSAH 37 and
Quale Ave. makes this comer a nonviable site for commercial use (no direct access to re-
enter TH 10 1 without routing through residential neighborhoods).
It is our understanding that the sanitary sewer capacity related to Outlot A (commercial)
was "reserved" for our future use as part of the original plat of The Pointe during 2000.
Considering the more recent county/state decisions to restrict this intersection, we believe
the most compatible use of Outlot A would be medium/high residential use. Allowing
residential development would be consistent with the adjoining use at The Pointe.
Upon approvals our intent is to consider this site a continuation of our current activity of
The Pointe with development starting in 2003 and unit occupancy during late 2003/2004.

THIS AGREEMEN7, made and entered into by and berxeen the County of Wright, Minnesota,
acting by and through its County Board of Commissioners, hereinafter referred to as the "County" and
tile City of Otsego, Minnesota, acting by and through its City Council, hereinafter refer -red to as the

WITNESSETH:
WHEREAS, those portiolis of County State Aid Highw3ys No.s 39 and 42 wi"n the limits of
the City of Otsego and described as follows:
CSAH 39 - From West of the intersection with CSAH 42 to Trunk Highway 101
CSAH 42 - From 94" Street to 88LhStreet
have been identified by The City of Otsego Engineer as needing improvements associated with the
proposed development of the Waterfront Development within the City of Otsego, and
VniEREAS, the County, City, and State have met and discussed the proposed improvements to
CSAH 39 and CSAH 42 and TH 101 to accommodate the proposed Waterfront development mi tile
City, and
WHEREAS, this cooperative agreement between the County and the, City outlines the
conditions, responsibilities and financial obligations in making the necessary improvements to CSAH
39 and CSAH 42 for the projected 2010 impacts for the Waterfront Development.
NOW, THEREFORE, IT IS MUTUALLY AGREED AND L7NDERSTOOD THAT:
1. The County and City, by approval of this agreement, mutually agree that the City of Otsego will be
responsible to make the necessary improvements to CSAH 39 and CSAH 42 (as described below in
items 3-6) due to die impact the Waterfront Development (all three phases) will have on the County's.
highway system.
2. Access and Utility permits that are required for the proposed WaterfTOnE development will not be
processed until such tirne that this agreement has been completely executed between the City and the
County. Open cutting of CSAH 39 and CSAH 42 for utility woTk will not be permitted.
3. Geometric improvements to CSAH 39 and CSAH 42 will be required for the anticipated 2010
conditions, including traffic control signals, Right -turn lares, double left -turn lanes, and additional
through lanes (two lanes in each direction approaching the illtevsection of CSAH 39 & 42, except only
one through lane on northbound CSAH 42 south of the intersection with CSAH 39) will need to be
constructed along CSAH 39 and CSAH 42. A traffic control signal will need to be installed at the
intersection of CSAH 39 and CSAH 42, and a fuwe traffic control system will be needed at a future
access to the Waterfront develDprnentfurther north along CSAH 42 which meets County spacing
guidelines. This work (except the future traffic cont-Tol signal fuilher north along CSAH 42) shall be
completed prior to the opening of any portion of die Waterfront development (with the possible
exception of matellal delays with thet:Taffic control signal at CSAH 39 & 42).

5. The proposed access at Park Street onto CSAH 42 will be allowed to be a full access initially. The
possibility exists that as traffic volumes increase on CSA.H 42 in the future that there may not be
adequate southbound left rum lane storage onto CSAH 42 approaching CSAH 39 for this access to
fancilon adequately as a full access. The County reserves the right to modify this access in the future
(to right -in, right-oui only, etc.), for safety purposes. The County agrees that pnor to any proposed
modification the City will be notlFied of the specific reasons for the proposed modification and tile City
will be given full opportunity to suggest alternative improvements for the County to consider which
adequately address the specific safety issue raised. 71c County reserves the right to close the "Right
out only" movement from the development onto CSAH 39 in the future, if necessary for safety
reasons.
6. —1 he proposed improvements to CSAH 39 and CSAH 42 shall be completed by the City of Otsego.
The plans for the proposed highway improvements and the Signal Justification Report (SJR) shall be
completed in accordance with Minnesota Department of Transportation (MnDOT) State Aid standards
and shall be reviewed and approved by the County Engineer, pnor to advertising for bids for any of the
improvements. The City shall construct or cause to be constructed., a project meeting state aid
standards for street improvements including, highway, utility, drainage, and other miscellaneous
improvements along CSAH 39 and CSAH 42 within the City Ili -nits in accordance with the approved
plans and specifications as prepared by the City's consultant engineer, and as approved by the the
Courity Engineer.
7. The City shall be responsible for providing the necessary electrical energy for the operation of the
traffic control signals, and any electrical energy for street lights. In addition, the City shall be
responsible for at its cost and expense to (1) relamp the traffic control signals; and (2) clean and
paint the traffic control signals and cabinets; (3) provide, at its costs and expense, the maintenance
on luminaries-, and (4) reimbursiag the County for maintaining the EVP Sy�terri. (Emitter units may
be installed and used only on vehicles responding to an emergency as defmed in Minnesota Statutes
Chapter 169.01, Subdivision 5 and 169.03.) In the event said EVP System or components are, in
the opinion of The County, being misused or the conditions set forth herein are violated, and such
misuse or violation continues after receipt by the City of written notice thereof from the County, the
County shall remove the EVP System, at rhe City's expense.
Upon completion of the project; it shall be County's responsibility at its cost and expense to (1)
maintain the signal controller, (2) determine the appropriate signal timing sequence, (3) provide
phone service to tbe controller for remote servicing, (4) provide for replacement of poles, cabinet
etc. if they should be damaged through vehicle collision etc. (major maintenance). (5) Provid
maintenance for the EVP 5ystern, which costs wouId be reimbursed -by -the Ci!y of Me"ti�.

8. The City shall indemnify, save and hold harmless the County and all of its agents and employees of
any forin against any and all claims, demands, actions or causes of action of whatever nature or
character anising out of or by reason of the execution or performance of the work provided for herein
to be performed by the City, provided., however, that the City shall have no obligation to indernriffy,
save, and hold harmless the County with regard to any claims related to the design of he
improvements to be constructed by the City pursuant to this agreement.
